Sublease Agreement (2021) By-law THE CORPORATION OF THE MUNICIPALITY OF KINCARDINE BY-LAW NO. 2021 < 054 BEING A BY-LAW TO AUTHORIZE THE SIGNING OF A LEASE AGREEMENT WITHMORSON INTERNATIONAL INC. AND WORK MANAGEMENT INC. FOR RENTAL SPACE IN THE MUNICIPAL ADMINISTRATION CENTRE WHEREAS Section 8 (1) and 9 of the Municipal Act, 2001, S.O. 2001, c. 25, as amended, provide that the powers of a municipality under this or any other Act shall be interpreted broadly so as to confer broad authority on the municipality to enable the municipality to govern its affairs as it considers appropriate and to enhancBPEBIQJF@FL>HFPUWO>?FHFPUPKNBOLKJd to municipal issues and has the capacity, rights, powers and privileges of a natural person for the purpose of exercising its authority under this or any other Act; AND WHEREAS the Council of The Corporation of the Municipality of Kincardine entered into a lease agreement on April 7, 2021 with Morson International Inc. (Canada) for the rental of commercial office space at the Municipal Administration Centre, 1475 Concession 5, Municipality of Kincardine in consideration of rents, covenants and obligations; AND WHEREAS the agreement with Morson International Inc. permits subleasing of the space providing a written agreement is executed between the sublessee and the landlord agreeing to be bound by all the terms of the leaset; AND WHERAS the Council of The Corporation of the Municipality of Kincardine deems it advisable to enter into a sublease agreement with Work Management Inc. in consideration of the rents, covenants and obligations stipulated therein; NOW THEREFORE the Council of The Corporation of the Municipality of Kincardine ENACTS as follows: 1. That The Corporation of the Municipality of Kincardine enter into a sublease agreement with Work Management Inc., for the rental of commercial office space at the Municipal Administration Centre, 1475 Concession 5, Municipality of Kincardine in consideration of rents, covenants and obligations. 2. That the Mayor and CAO be authorized to sign and execute, on behalf of The Corporation of the Municipality of Kincardine, the Sublease Agreement with Work Management Inc., attached to this by-law as ;@EBAQHBX0Y"and to affix the corporate seal as required. 3. BETWEEN: THE CORPORATION OF THE MUNICIPALITY OF KINCARDINE (hereinafter called the"Landlord") OF THE FIRST PART —and— MORSON INTERNATIONAL INC. (hereinafter called the"Tenant") OF THE SECOND PART —and— WORK MANAGEMENT INC. (hereinafter called the"Sublessee") OF THE THIRD PART The parties agree as follows: 1. The Landlord hereby consents to the sublease of the sublet premises which are to be used for office use purposes by the Sublessee. 2. The Sublessee will occupy the office space as illustrated on Schedule 'A' of this agreement. 3. The Sublessee will take possession effective April 1, 2021 until March 31, 2022. The Tenant will notify the Landlord in writing when the sublease is terminated. 4. The Sublessee agrees that it will pay rent directly to the Tenant being $500.00 month. 5. The Sublessee agrees that it shall abide by all the terms and conditions in the Lease Agreement between the Corporation of the Municipality of Kincardine and Morson International Inc. dated April 1, 2021.
