BEING A BY -LAW TO AUTHORIZE THE SIGNING OF AN
AGREEMENT WITH ONTARIO POWER GENERATION INC., OPG-
HURON A INC. AND OPG HURON B INC., OPG WASTE INC., AND
OPG -HURON COMMON FACILITIES INC., THE MUNCIPAL
PROPERTY ASSESSMENT CORPORATION AND THE CORPORATION
OF THE MUNICIPALITY OF KINCARDINE
WHEREAS Ontario Power Generation Inc., OPG -Huron A Inc., OPG -Huron B
Inc., OPG Waste Inc., and OPG -Huron Common Facilities Inc. are the registered
owners of property located at the Bruce Generation Station, more particularly
described in Schedule "A" attached to this by -law.
AND WHEREAS the registered owners have appealed the assessment of the
Bruce Generation Station for the taxation years 1999 -2002 inclusive;
AND WHEREAS Sections 8 and 9 (1) of the Municipal Act 2001, S.O. 2001, c.
25, as amended provides municipalities with powers of a natural person to
enable them to govern their affairs as they consider appropriate and to enhance
their ability to respond to municipal issues;
AND WHEREAS pursuant to the said Municipal Act, Section 224 provides that
the role of Council is to represent the public and to consider the well -being and
interests of the municipality;
AND WHEREAS Ontario Power Generation Inc. and OPG -Huron A Inc., OPG
Huron B Inc., OPG Waste Inc. and OPG -Huron Common Facilities Inc., the
• Corporation of the Municipality of Kincardine and the Municipal Property
Assessment Corporation have agreed to resolve the said assessment appeals
according to mutually agreed upon terms and conditions between the named
parties;
NOW THEREFORE the Council for The Corporation of the Municipality of
Kincardine ENACTS as follows:
1. That the Corporation of the Municipality of Kincardine enter into an agreement
with Ontario Power Generation Inc., OPG -Huron A Inc. and OPG -Huron B
Inc., OPG Waste Inc., and OPG -Huron common Facilities Inc. and the
Municipal Property Assessment Corporation, to settle appeals of the
assessment of the Bruce Generation Station for the taxation years 1999 -2002
inclusive.
2. That the Mayor and Treasurer be authorized to add their signatures, on behalf
of The Corporation of the Municipality of Kincardine, to any documents
required to conclude the appeals of the assessment of the Bruce Generation
Stations for the taxation years 1999 -2002 inclusive with Ontario Power
Generation Inc., OPG -Huron A Inc., OPG -Huron B Inc., OPG Waste Inc.,
OPG -Huron Common Facilities Inc. and the Municipal Property Assessment
Corporation.

AGREEMENT
WHEREAS at its meeting on January 12, 2005 Kincardine Council passed By-
law No, 2005-05 which authorized the Mayor and Treasurer to execute this Agreement on behalf
of Kincardine,
IN CONSIDERATION OF the premises and the covenants hereinafter expressed,
and the sum of two ($2.00) dollars of lawful money of Canada, now paid by each to the others,
the parties hereto covenant and agree with the other parties hereto as follows:
1.
Schedule 1 hereto is a Memorandum of Settlement, counterpart copies of which.
has been executed by each of the parties hereto and delivered to the Escrow Agent
in escrow subject to satisfaction of the Escrow Condition, Each party hereto has
given the Escrow Agent sufficient copies of the counterpart bearing the original
signatures of the signing officers of the party so that the provisions of this
paragraph 1 can be perfonned by the Escrow Agent.
(b) The Escrow Agent will hold each of the aforesaid executed counterpart copies of
the Memorandum of Settlement until regulations with the substantive content of

the draft regulations contained in Schedules D and E to the Memorandum of
Settlement have been promulgated by the Ontario Minister of Finance and are in
force (the Escrow Condition), and the Escrow Agent has given the last party to be
given it written notice that Ihe Escrow Condition has been satisfied,
In the event that either (I) regulations are promulgated by the Ontario Minister of
Finance which do not have the substantive content of the draft regulations
contained in Schedules D and E to the Memorandum of Settlement, or (2)
regulations with the substantive content of the draft regulations contained in
Schedules D and E to the Memorandum of Settlement are not promulgated by the
Ontario Minister of Finance within nine (9) months of the date of this Agreement
or by such later date as the parties hereto may fix by amendment after
consultation with the Minister of Finance, the Escrow Agent shall forthwith give
written notice of that fact to the parties hereto and shall return each of the
aforesaid executed counterpart copies of the Memorandum of Settlement not
delivered to the party which executed it, and the Memorandum of Settlement shall
be deemed to be void ab initio.
For the purposes of this Agreement the parties hereto appoint the solicitor for
OPG, Mr, Jeff Cowan of Weir Foulds LLP, the Escrow Agent. Forthwith after the
Ontario Minister of Finance promulgates regulations either with the substantive
content or with a different content than the draft regulations contained in
Schedules D and E to the Memorandum of Settlement, or the Promulgation Period
has expired and regulations with the substantive content of the draft regulations
contained in Schedules D and E to the Memorandum of Settlement have nol been
promulgated by the Ontario Minister of Finance, the Escrow Agent shall give
written notice of that fact to each of the parties hereto in accordance with clause
l(b) or l(c), whichever is applicable. OPG hereby irrevocably authorizes Mr.
Cowan to act as the Escrow Agent and irrevocably instructs him to carry out the
duties of the Escrow Agent under this paragraph 1.

hereto to the other under this Agreement, such notice shall be transmitted by
telefax or mailed by prepaid post or delivered to:

other party in writing. Any such notice telefaxed or mailed or delivered shall be
deemed good and sufficient notice under the terms of this Memorandum of
Settlement and if telefaxed or delivered prior to 4:30 p.m. on any business day
(excluding Saturdays, Sundays and statutory holidays) shall be deemed to have
been received at the time of delivery or transmission and if mailed by pre-paid
registered mail, it shall be deemed to have been received on the third business day
(excluding Saturdays, Sundays and statutory holidays) following the mailing
thereof. Notwithstanding the foregoing, in the event that it may be reasonably
anticipated that due to Force Majeure any notice will not be received within the
time limit set out above, then such notice shall be sent by an alternate means of
transportation which is or may reasonably be anticipated to be adequate to cause
the notice to be received reasonably expeditiously by the addressee.

For the purposes of this Agreement, the term "Force Majeure" means any delay
for the duration of the delay which is imposed by reason of strikes, lockouts, riots,
wars or acts of military authority, acts of public enemies, sabotage, epidemics,
washouts, nuclear and radiation activity or fallouts, rebellion or civil commotion,
fire or explosion; flood, wind, water, earthquakes or other casualty, or an Act of
God and any act, omission or event whether of the kind herein enumerated or
otherwise not within the control of the parties none of which has been caused by
the deliberate default or act or omission by the parties and none of which has been
avoidable by the exercise of reasonable effort or foresight by the parties.
5.
Time shall be of the essence of every provision of this Agreement in all respects.

MEMORANDUM OF SETTLEMENT
WHEREAS OPG-Huron A Inc" OPG-Huron B Inc., OPG Waste Inc" and OPG-
Huron Common Facilities Inc., are the registered owners of the land and premises represented by
assessment roll numbers 41-08-260-004-23401-0000, 41-08-260-004-23403-0000, 41-08-260-
004-23404-0000, 41-08-260-004-23405-0000, 41-08-260-004-23411-0000, 41-08-260-004-
23421-0000 and 41-08-260-001-17320-0000, which are particularly described in Schedule A
hereto ("Bruce Generation Station");
AND WHEREAS appeals of the assessment of the Bruce Generation Station are
pending for taxation years 1999 to 2002, inclusive;
AND WHEREAS the parties to this Memorandum of Settlement have agreed to
resolve the said assessment appeals and wish to set out the tenns of the settlement;
AND WHEREAS at its meeting on January 12, 2005 Kincardine's Council passed
By-law No. 2005-05 which authorized the Mayor and Treasurer to execute this Memorandum of
Settlement on behalf of Kincardine;

NOW THEREFORE in consideration of the mutual covenants contained herein,
each of the parties to this Memorandum of Settlement covenants and agrees with each of the
other parties hereto, as follows:
1.
The assessment of the Bruce Generation Station for taxation years 1999
(commencing April 1, 1999) to 2002, inclusive, shall be in accordance wilh
Schedule B, which shall be the basis for Assessment Review Board Minutes of
Settlement which the parties shall file with the Assessment Review Board
forthwith after this Memorandum of Settlement comes into force and effect.

For the taxation years 1999 (commencing April 1, 1999) to 2003 inclusive, the
assessment of the water intake and discharge facilities located at Bruce
Generation Station shall be in the amount set out in Schedule C. The water intake
and discharge facilities include related twmels, pipes, ducts, forebays, channels,
groins, retaining or revetment walls, benns and associated structures and
improvements existing on December 31, 2002.

The intention of the parties hereto is that the assessment for certain buildings and
structures at the Bruce Generation Station and the water intake and discharge
facilities will be fixed by regulation under the Assessment Act, R.S,O, 1990,
c.A.31 as amended, with the substantive content as set out in Schedules D and E
hereto, ("the regulations''). For purposes of new section 9 of Ontario Regulation
197/04 as amended by Schedule D, the parties agree that for the 1999 and 2000
taxation years, the replacement cost new assessed value of the water intake and
discharge facilities on assessment roll number 41-08-260-004-23401-0000 is
$63,580,500, the accumulated depreciation to the end of the year determined by
MPAC is $31,790,250, and the obsolescence factor is .118161. For the 2001 and
2002 taxation years, the replacement cost new assessed value of the water intake
and discharge facilities on assessment roll number 41-08-260-004-23401-0000 is
$57,928,900, the accumulated depreciation to the end of the year determined by
MPAC is $28,964,450, and the obsolescence factor is .120469. For the 1999 and
2000 taxation years, the replacement cost new assessed value of the water intake
and discharge facilities on assessment roll number 41-08-260-004-23403-0000 is
$75,010,500, the accumulated depreciation to the end of the year determined by
MPAC is $37,505,250, and the obsolescence factor is ,188377, For the 2001 and
2002 taxation years, the replacement cost new assessed value of the water intake
and discharge facilities on assessment roll number 41-08-260-004-23403-0000 is
$68,342,900, the accumulated depreciation to the end of the year determined by
MPAC is $34,171,450, and the obsolescence factor is .190332, The assessed
value of the water intake and discharge facilities for the 2003 taxation year shall
be that assessed value of the water intake and discharge facilities determined
pursuant to the regulation for the 2002 taxation year. The parties agree that
should section 1(1) of Schedule A to The Right Choices Act (Budget Measures),
2003 (Assessment Act amendments) or similar legislation be enacted, the
regulation can be amended without further approval of the parties to fix the value
of the water intake and discharge facilities in the amounts prescribed by Schedule
D, provided the intent of the provisions of Schedule D is maintained.

The parties further agree that for roll number 41-08-260-004-23401-0000 the
obsolescence factor is based on the fact that two of the four nuclear reactors at the
Bruce A generation station are permanently shut down, and that an additional
17,5% obsolescence allowance has been made to the assessed value for the intake
lunnel, discharge and temporary ducts, and forebay. In the event one or bolh
reactors are brought back into service, the obsolescence factor will be amended in
the manner outlined in section 5 for purposes of establishing a new 2003 taxation
year assessed value for the said water intake and discharge facilities on
assessment roll number 41-08-260-004-23401-0000, and its adjustment to the
assessed value, commencing with the effective date or dates of a nuclear reactor
or reactors being brought back into service, in accordance with new section 9 of
Ontario Regulation 197/04 as amended by Schedule D. The parties agree that a
nuclear reactor is deemed to be broughl back into service once written notice has
been given to the Independent Electricity Market Operator or its successor to
change the status of the nuclear reactor from "Self Scheduling/Commissioning" to
"Dispatchable Generator", as defined in currenl market rules. OPG shall notify
MPAC of the date that such written notice is given to the Independent Electricily
Market Operator or its successor when OPG becomes aware of such notice. The
parties further agree that should there be material changes to the market rules
surrounding this protocol, those changes will be adopted in a manner consistent
with current protocol.
5.
In the event one of the Bruce A generation station nuclear reactors on roll number
41-08-260-004-23401-0000 is brought back into service, 8.75% of the additional
obsolescence allowance to the assessed value for the intake tunnel, discharge and
temporary ducts, and forebay will be removed. The parties agree that in such an
event, for purposes of new section 9 of Ontario Regulation 197/04 as amended by
Schedule D, the 2001 and 2002 taxation years replacement cost new assessed
value of the water intake and discharge facilities on assessment roll number 41-
08-260-004-23401-0000 will be $57,928,900, the accumulated depreciation to the
end of the year determined by MPAC is $28,964,450, and the obsolescence factor
will be .142240, In the event the second nuclear reactor is brought back into
service, the remaining 8.75% additional obsolescence allowance to the assessed
value for the intake tunnel, discharge and temporary ducts, and forebay will be
removed. In this event, for purposes of new section 9 of Ontario Regulation
197/04 as amended by Schedule D, the 2001 and 2002 taxation years replacement
cost new assessed value of the water intake and discharge facilities on assessment
roll number 41-08-260-004-23401-0000 is $57,928,900, the accumulated
depreciation to the end of the year determined by MP AC is $28,964,450, and the
obsolescence factor is .164010, In both cases described in this section, the
assessed value of the water intake and discharge facilities for the 2003 taxation
year shall be that assessed value of the water intake and discharge facilities
determined pursuant to this section for the 2001 and 2002 taxation years, and for
the purposes of new section 9 of Ontario Regulalion 197/04 as amended by
Schedule D, the incremental increase in assessment shall be indexed commencing
from the effective date or dates of the nuclear reactor or reactors being brought
back into service. For greater clarity, but as an example only, Schedule K
attached hereto sets out how such indexing shall be calculated in the event that the

effective date of one or both nuclear reactors being brought back into service is

A plan showing location and numbering of buildings or structures shall be
retained by the assessment corporation, Kincardine, and the owners of the Bruce
Generation Station, and is attached hereto as Schedule F. Building and structure
numbers are attached hereto as Schedules G and H. The parties agree that
Schedule F is provided on a confidential basis for security reasons. On an annual
basis, OPG agrees to provide both the Municipality of Kincardine and MPAC
with copies of site plans for the leased premises, as well as the premises occupied,
but not leased, by OPG, OPG wil1 make its best efforts to obtain a copy of a site
plan for the leased premises before the end of July of each year, and MPAC will
make its best efforts to perfonn a site inspection by the end of September of each
year,
7.
The parties agree to the dismissal without costs of the application pursuant to
section 46 of the Assessment Act commenced by Ontario Power Generation
Darlington Inc" OPG-Darlington Inc" Ontario Power Generation Pickering Inc.,
OPG-Pickering Inc., OPG-Lakeview Inc" OPG-Nanticoke Inc., OPG-Bruce A
Inc" OPG-Bruce B Inc., OPG-Huron A Inc. and OPG-Huron B Inc" being Court
File No, 02-CV-2413l7CM3 of the Ontario Superior Court of Justice (the
"Application") and attached as Schedule I, as it relates to the Bruce Generation
Station, upon the promulgation and coming into force of the regulation. OPG
agrees that it will not commence any application or court proceeding in future
which raises the same or substantially the similar grounds as those set out in the
Application as long as the regulation and this Memorandum of Settlement
remains in force,

For greater detail and clarification, the parties agree to the assessment and tax
property class for the buildings and structures as set out in Schedules J and H.
The assessed value of the land exclusive of buildings and structures is based upon
the methodology utilized by MP AC for the municipality for taxation years 1999
(commencing April I, 1999) to 2002, Water lots are valued at ten percenl (10%)
of the applicable land table rate, and open space and open space/excess lands are
valued at $2000 per acre in accordance with Schedule L attached. Lands
comprising the utility corridor (roll number 41-08-260-001-17320-0000) are
assessed pursuant to Ontario Regulations 387/98 and 392/98, as amended.

When new buildings or structures are constructed at Bruce Generation Station,
there is a change in use of a building or structure, or if there is a building or
structure not identified on Schedule J, Kincardine and OPG shaU consult and co-
operate with each other with a view to agreeing whether such building or structure
should be a prescribed building or structure pursuant to new section 8 of Ontario
Regulation 197/04 as amended by Schedule D hereto, and in doing so they shaU
have regard to all relevant factors including but not limited to the similarity in
structure and function of the buildings or structures referred to in Schedule J,
They shall cooperate with each other in seeking to obtain the concurrence of
MP AC and Minister of Finance to their agreement as aforesaid and where

necessary, to an amendment being made to the regulations to give effect to the
Minister's decision.

10.
So long as the regulation and Memorandum of Settlement remain in force, in
circumstances in which MP AC adjusts the value of industrial properties arrived at
by a "Cost Approach" by applying thereto a "Market Adjustment Faclor", OPG
will not contend in any proceedings before the Assessment Review Board or a
Court that a Market Adjustment Factor should be used in determining the assessed
value of any portions of the Bruce Generation Station for municipal' taxation
purposes. For the purposes of this Memorandum of Settlement, the terms (a)
"Cost Approach" means the valuation methodology whereby a depreciated
replacement cost is used to derive the value for buildings or structures, to which is
added land values derived ITom a comparative sales study; and (b) "Market
Adjustment Factor" means the methodology employed for taxation years 1998,
1999, 2000, 2001 and 2002 by MPAC or any similar successor methodology of
MP AC which adjusts values of specific properties determined on a Cost
Approach by reference to or reliance on a direct sales comparison, and which
reduces the assessed value of a property to reflect the difference between: (i) a
value arrived at utilizing the Cost Approach, and (ii) a value based on a direct
sales comparison only.

So long as the regulation and this Memorandum of Settlement remain in effect,
OPG will provide a copy of this Memorandum of Settlement to any purchaser of
the Bruce Generation Station or a substantial portion of it, and to any person who
leases for a term of more than five (5) years the Bruce Nuclear Generation Station
or a substantial portion of it if the said lessee is responsible to pay municipal
property taxes pursuant to the terms of the lease.

The parties acknowledge and agree that the provisions of this Memorandum of
Settlement have been agreed upon in the context of the relevant assessment
legislation and the regulatory regime for nuclear power plants in the Province of
Ontario as well as the prevailing assessment methodology of MP AC as at the date
of this Memorandum of Settlement. In the event of a material change in
assessment legislation, the regulatory regime for nuclear power stations, or the
assessment methodology of MP AC, or the decommissioning of a substantial
portion of the Bruce A or B nuclear generation stations, the parties hereto will
meet and act cooperatively in good faith to make such amendments to this
Memorandum of Settlement and regulations as they consider to be necessary to
address the specific change or changes. If the parties are unable to agree to such
amendments, the parties may take such action as is permitted under the
Assessment Act or successor legislation.

OPG and Kincardine agree to use their best efforts and to act cooperatively and in
good faith and to execute all necessary documents required to fully implement
this Memorandum of Settlement.

This Memorandum of Settlement shall enure to the benefit of and be binding upon
the parties hereto and their respective successors and assigns,

For the purposes of this Memorandum of Settlement, the tenn "Force Majeure"
means any delay for the duration of the delay which is imposed by reason of
strikes, lockouts, riots, wars or acts of military authority, acts of public enemies,
sabotage, epidemics, washouts, nuclear and radiation activity or fallouts, rebellion
or civil commotion, fire or explosion; flood, wind, water, earthquakes or other
casualty, or an Act of God and any act, omission or event whether of the kind
herein enumerated or otherwise not within the control of the parties none of which
has been caused by the deliberate default or act or omission by the parties and
none of which has been avoidable by the exercise of reasonable effort or foresight
by the parties.

Time shall be of the essence of every provision in this Memorandum of
Settlement in all respects.

This Memorandum of Settlement shall be executed in counterparts by the parties
hereto.

MP AC has executed this Memorandum of Settlement and is a party to it only for
the purposes of recording its approval of the content of the regulations as set out
in Schedules D and E hereto, Schedules C and K, and the assessment and tax
property class for the buildings and structures set out in Schedules ß, J and L.

1. Ontario Regulation 197/04 is amended by adding the following definition to
Section 1.1 of the Regulation:
"Bruce Generation Station" means the generation facility located in the Municipality of
Kincardine, having assessment roll numbers beginning 41-08-260-004-23401 and the legal

2. The Regulation is amended by renumbering section 8 as section 11 adding the
following sections:
BRUCE GENERATION STATION
Prescribed buildings and structures
8. (1) The following buildings and structures are prescribed for the purposes of
subsection 19.0.1(1) of the Act, effective April1, 1999:
1. The water intake and discharge facilities at the Bruce Generation Station.
2. The buildings and structures at the Bruce Generation Station listed in Schedule 3.
(2) Despite subsection (1), no building or structure whose construction was
completed after December 31, 2002 is prescribed for the purposes of subsection 19.0.1 (1) of the
Act.

Assessed value of water Intake and discharge facilities
9. For the purposes of clause 19,O.I.(I)(b) of the Act, the assessed values of the
water intake and discharge facilities at the Bruce Generation Station shall be detennined in the
following manner:
1.
For roll number 41-08-260-004-23401, for each of the 1999 and 2000 laxation
years, the assessed value shall be detennined by multiplying the difference
between the replacement cost new of the facilities and the amount, as detennined
by the assessment corporation, of accumulated depreciation to the end of that year
by a factor for obsolescence equal to 0.118161.
2.
For roll number 41-08-260-004-23401, for each of the 2001 and 2002 taxation
years, the assessed value shall be detennined by multiplying the· difference
between the replacement cost new of the facilities and the amount, as detennined
by the assessment corporation, of accumulated depreciation to the end of that year
by a factor for obsolescence equal to 0,120469.

For roll number 41-08-260-004-23403, for each of the 1999 and 2000 taxation
years, the assessed value shall be detennined by multiplying the difference
between the replacement cost new of the facilities and the amount, as detennined
by the assessment corporation, of accumulated depreciation to the end of that year
by a factor for obsolescence equal to 0.188377.

For roll number 41-08-260-004-23403, for each of the 2001 and 2002 taxation
years, the assessed value shall be detennined by multiplying the difference
between the replacement cost new of the facilities and the amount, as detennined
by Ihe assessment corporation, of accumulated depreciation to the end oflhat year
by a factor for obsolescence equal to 0.190332.

For the 2003 taxation year, the assessed values shall be the assessed values
detennined under paragraphs 2 and 4 for the 2002 taxation year,

For 2004 and each subsequent taxation year, the assessed values shall be
detennined by multiplying the assessed values for the previous taxation year by
the factor determined using the fonnula,

"Bn is the Industrial Product Price Index for March of the year before the previous taxation

10. For the pwposes of clause 19,O.l(I)(b) of the Act, the assessed value of the
buildings and structures listed in Schedule 3 shall be determined in the manner described in
clause 19.0,I(l)(a) of the Act, with the inside ground floor area of the buildings and structures
calculated on the basis that the interior dimensions are equal to 95 per cent of the exterior
dimensions.

11. This Regulation shall be deemed to have come into force on April 1, 1999.

and OPG -HURON A INC. ,OPG- HURON B INC.,
OPG WASTE INC., and OPG-HURON COMMON FACILITIES INC.
(collectively referred to hereinafter as "OPG ")
OF THE FIRST PART
and
THE CORPORATION OF THE MUNICIPALITY OF KINCARDINE
(referred to hereinafter as "Kincardine ")
OF THE SECOND PART
and
MUNICIPAL PROPERTY ASSESSMENT CORPORATION
(referred to hereinafter as "MPAC ")
OF THE THIRD PART
AMENDING AGREEMENT
WHEREAS by Agreement dated March 24, 2005 (the "Agreement "), OPG,
Kincardine and MPAC ( "the parties ") executed Schedule 1, a Memorandum of Settlement
( "Memorandum of Settlement ") of assessment appeals,
AND WHEREAS as a result of further investigations and exchange of
information the parties have agreed to amend the Agreement and Memorandum of Settlement,
IN CONSIDERATION OF the premises and the covenants hereinafter expressed,
and the sum of two ($2.00) dollars of lawful money of Canada, now paid by each to the others,
the parties hereto covenant and agree with the other parties hereto as follows:
1. (a) Paragraph 1(c) of the Agreement is amended by deleting from the sixth and
seventh lines the words "within nine (9) months from the date of this Agreement"
and replacing them with "by May 30, 2006 ".
(b) Schedule B of the Memorandum of Settlement for the 2001 Tax Year and the
2002 Tax Year are deleted and replaced with the attached Schedule B for the 2001
Tax Year and 2002 Tax Year.
(c) The parties hereto do in all other respects hereby confirm that the Agreement and
Memorandum of Settlement are in full force and effect, unchanged and
unmodified except in accordance with this agreement.

the parties hereto covenant and agree with the other parties hereto as follows:
1. (a) Paragraph 1(c) of the Agreement as amended is further amended by deleting the
words "by May 30, 2006" and replacing them with "by December 31, 2006 ".

(b) The parties hereto do in all other respects hereby confirm that the Agreement and
Memorandum of Settlement as amended are in full force and effect, unchanged
and unmodified except in accordance with this agreement.
