BEING A BY-LAW TO ACCEPT REQUEST FOR PROPOSALS FOR THE
PROVISION OF PROFESSIONAL MAINTENANCE SERVICES AT THE
FORMER W.E. THOMPSON PUBLIC SCHOOL
(Weiler's Cleaning and Restoration Ltd)
WHEREAS pursuant to the said Municipal Act, Section 8 (1) and 9 provide that
the powers of a municipality under this or any other Act shall be interpreted
• broadly so as to confer broad authority on the municipality to enable the
municipality to govern its affairs as it considers appropriate and to enhance the
municipality's ability to respond to municipal issues and has the capacity, rights,
powers and privileges of a natural person for the purpose of exercising its
authority under this or any other Act;
AND WHEREAS it has been determined that there is a need for professional
maintenance services at the former W.E. Thompson Public School as outlined in
Request for Proposals No. 2017 CLE-01;
NOW THEREFORE the Council of The Corporation of the Municipality of
Kincardine ENACTS as follows:
1. That the request for proposal of Weiler's Cleaning and Restoration Ltd. to
provide professional maintenance services at the former W.E. Thompson
Public School, in the amount of $177,255.00 (exclusive of HST), be hereby
accepted.
2. That the Mayor and Chief Administrative Officer be authorized and directed
• to execute, on behalf of the Council of The Corporation of the Municipality
of Kincardine, any contracts and other documents required to authorize
such work to commence.
3. This by-law shall come into full force and effect upon its final passage.
4. This by-law may be cited as the "Professional Maintenance Services at the
former W.E. Thompson Public School (Weiler's Cleaning and Restoration
Ltd) Request for Proposals Acceptance By-law".

hereinafter called the "Contractor"
THE PARTY OF THE FIRST PART
AND
The Corporation of the Municipality of Kincardine
hereinafter called the "Municipality"
THE PARTY OF THE SECOND PART
WITNESSETH, that the Contractor, for and in consideration of the payment or payments specified
in the Proposal for this work, hereby agrees to furnish all necessary machinery, tools, equipment,
supplies, labour, etc and to the satisfaction of the Municipality, to do all the work as described
hereafter and to complete such works in strict accordance with the General Conditions, Scope of
Work and Special Provisions which are identified and acknowledged in the attached Request for
Proposal issued by the Municipality and the Proposal dated August 28, 2017 submitted by the
Contractor, and all of which are to be read herewith and form part of this present Agreement as
fully and completely to all intents and purposes as though all the stipulations hereof have been
embodied herein.
DESCRIPTION
Request for Proposal CLE 2017-01 —Professional Maintenance Services at the Former W.E.
Thompson School for a proposed amount of$177,255.00, excluding applicable taxes.
IN CONSIDERATION WHEREOF, the Municipality agrees to pay to the Contractor for all work
done as set out in the attached documents.
This agreement shall ensure to the benefit of and the binding upon the heirs, executors,
administrators and assigns of the parties hereto.
IN WITNESS WHEREOF, the Contractor and the Municipality have hereunto signed their names
and set their seals on the day first above written.

8. I FURTHER DECLARE that the awarding of the contract based on this R.F.P. by the Municipality shall be an acceptance of this
Tender.
9. I FURTHER DECLARE that in the event of default or failure on our part,that the Municipality shall be at liberty to advertise for
new Tender, or to carry out the works in any other way they deem best, and I also agree to pay to the said Municipality the difference
between this R.F.P.and any greater sum which the said Municipality may expend or incur by reason of such default or failure or by reason
of such action as aforesaid,on their part,including the cost of any advertisement for new R.F.P.;and to indemnify and save harmless the
said Municipality and their officers from all loss,damage,cost charges and expenses which they may suffer or be put to by reason of any
such default or failure on our part.
