BEING A BY-LAW TO AUTHORIZE THE SIGNING OF A MEMORANDUM
AGREEMENT WITH HER MAJESTY THE QUEEN IN RIGHT OF CANADA AS
REPRESENTED BY THE MINISTER OF PUBLIC WORKS AND
GOVERNMENT SERVICES CANADA
(Rural Interoperability Optimization Project (CSSP-2016-CP-2269))
WHEREAS Sections 8 (1) and 9 of the Municipal Act, 2001, S.O. 2001, c. 25, as
• amended, provide that the powers of a municipality under this or any other Act
shall be interpreted broadly so as to confer broad authority on the municipality to
enable the municipality to govern its affairs as it considers appropriate and to
enhance the municipality's ability to respond to municipal issues and has the
capacity, rights, powers and privileges of a natural person for the purpose of
exercising its authority under this or any other Act;
AND WHEREAS the Council of the Municipality of Kincardine wishes to enter
into a Memorandum of Agreement for the Rural Interoperability Optimization
Project (CSSP-2016-CP-2269);
NOW THEREFORE the Council of The Corporation of the Municipality of
Kincardine ENACTS as follows:
1. That The Corporation of the Municipality of Kincardine enter into a
Memorandum of Agreement for the Rural Interoperability Optimization Project
(CSSP-2016-CP-2269) with Her Majesty the Queen in Right of Canada as
represented by The Minister of Public Works and Government Services
Canada, attached hereto as Schedule 'A'.
• 2. That the Mayor and Chief Administrative Officer be authorized and directed to
sign and execute, on behalf of The Corporation of the Municipality of
Kincardine, the Memorandum of Agreement for the Rural Interoperability
Optimization Project (CSSP-2016-CP-2269) with Her Majesty the Queen in
Right of Canada as represented by The Minister Of Public Works And
Government Services Canada, attached hereto as Schedule "A" and to affix
the corporate seal.
3. This by-law shall come into full force and effect at the time of its passing.
4. This By-law may be cited as the "Memorandum of Agreement for the Rural
Interoperability Optimization Project (CSSP-2016-CP-2269) By-law".

WHEREAS Defence Research and Development Canada -Centre for Security Science (DRDC CSS) has
a requirement for the"Community Safety Wellbeing Resilience project, and
WHEREAS the Municipality of Kincardine agrees to perform the work detailed in this Agreement in
accordance with the terms and conditions detailed hereinafter.
NOW THEREFORE, Canada and Municipality of Kincardine agree as follows:
In this document, the term "Contract"conveys"Agreement."
1. Statement of Work
The Contractor must perform the Work in accordance with the Statement of Work at Annex A.

5. Payment
5.1 Basis of Payment
In consideration of the Contractor satisfactorily completing all of its obligations under the Agreement, the
Contractor will be paid firm prices as specified in the Agreement for a cost of$229,500.00. Customs
duties are excluded and Goods and Services Tax or Harmonized Sales Tax is extra, if applicable.
Canada will not pay the Contractor for any design changes, modifications or interpretations of the Work,
unless they have been approved, in writing, by the Contracting Authority before their incorporation into the
Work.
5.2 Method of Payment
5.2.1 Milestone Payments
Canada will make milestone payments in accordance with the Schedule of Milestones detailed in the
Agreement and the payment provisions of the Agreement if:
(a) an accurate and complete claim for payment using form PWGSC-TPSGC 1111 (http://www.tpsgc-
pwgsc.gc.ca/app-acq/forms/documents/1111.pdf) and any other document required by the
Agreement have been submitted in accordance with the invoicing instructions provided in the
Agreement;
(b) all the certificates appearing on form PWGSC-TPSGC 1111 have been signed by the respective
authorized representatives;
(c) all work associated with the milestone and as applicable any deliverable required has been
completed and accepted by Canada.

6. Invoicing Instructions - Progress Claim
1. The Contractor must submit a claim for progress payment using form PWGSC-TPSGC 1111
(http://www.tpsgc-pwgsc.gc.ca/app-acq/forms/documents/1111.pdf).
Each claim must show:
(a) all information required on form PWGSC-TPSGC 1111;
(b) all applicable information detailed under the section entitled "Invoice Submission" of the
general conditions;
(c) the description and value of the milestone claimed as detailed in the Agreement.
2. Goods and Services Tax (GST) or Harmonized Sales Tax(HST), as applicable, must be
calculated on the total amount of the claim before the holdback is applied. At the time the
holdback is claimed, there will be no GST/HST payable as it was claimed and payable under the
previous claims for progress payments.
3. The Contractor must prepare and certify an original claim on Form PWGSC-TPSGC 1111, and
forward it to the Contracting Authority for certification in an electronic format to the electronic
mailaddress identified under section entitled "Authorities" of the Agreement. Adobe Reader(.pdf)
format is acceptable. The Contracting Authority will then forward the certified claim, in an
electronic format, to the Technical Authority for appropriate certification after inspection and
acceptance of the Work takes place, and onward submission to the Payment Office for the
remaining certification and payment.
4. The Contractor must not submit claims until all work identified in the claim is completed.
7. Applicable Laws
The Agreement must be interpreted and governed, and the relations between the parties determined, by
the laws in force in Ontario.

8. Priority of Documents
If there is a discrepancy between the wording of any documents that appear on the list, the wording of the
document that first appears on the list has priority over the wording of any document that subsequently
appears on the list.

9. Defence Contract
The Contract is a Defence contract within the meaning of the Defence Production Act, R.S.C. 1985, c. D-
1, and must be governed accordingly. Title to the Work or to any materials, parts, work-in-process or
finished work must belong to Canada free and clear of all claims, liens, attachments, charges or
encumbrances. Canada is entitled, at any time, to remove, sell or dispose of the Work or any part of the
Work in accordance with section 20 of the Defence Production Act
10. Insurance
The Contractor is responsible for deciding if insurance coverage is necessary to fulfill its obligation under
the Contract and to ensure compliance with any applicable law. Any insurance acquired or maintained by
the Contractor is at its own expense and for its own benefit and protection. It does not release the
Contractor from or reduce its liability under the Contract.
11. Canadian Forces Site Regulations
The Contractor must comply with all regulations, instructions and directives in force on the site where the
Work is performed.

Annex A
Statement of Work
Objective
Rural Interoperability Optimization Project
The objective of this project is to conduct a comprehensive study in collaboration with the Regional
Interoperability Committee, Bruce County, the Municipality of Kincardine, the Town of Saugeen Shores,
regional emergency responders and Bruce Power to develop a Rural Interoperability Optimization (RIO)
Plan and a supporting toolbox to assist the region in becoming increasing resilient and self-sufficient in
addressing their interoperability requirements.
This project will reflect strong alignment with the Communications Interoperability Strategy for Canada and
the Canadian Community Safety Information Management Strategy. Accordingly this study will be guided
by a five lane approach with an emphasis placed on open and emerging standards to optimize both current
capabilities and future investments.
In addition to focusing on the diverse demographics throughout this rural region particular attention will be
placed on considering how to optimize rural interoperability capabilities that reflect the needs of our local
Indigenous Peoples(the Saugeen Ojibway First Nation who are members of our Interoperability Committee)
as well as all other under-represented groups in the region.
The collective outcomes of this project will allow the project stakeholders to become increasingly
knowledgeable and self-sufficient to address rural interoperability by addressing opportunities identified
through this project while also advancing the key action items reflected in their current Regional
Communications Interoperability Strategy(RCIS)and Action Plan.
Background
Achieving robust and sustainable communications interoperability is a challenge for all jurisdictions across
Canada. This challenge can be even more daunting for rural jurisdictions supporting a wide range of
demographics to include under represented and vulnerable sectors.
In early 2015, Bruce County, the Municipality of Kincardine, the Town of Saugeen Shores, regional
emergency responders and Bruce Power hosted a Regional Communications Interoperability Workshop
which led to the development of an initial Regional Communications Interoperability Strategy and Action
Plan. Although the stakeholders have made some progress in their action plan since that time, the lack of
resources and experience have made significant change difficult and hampered their ability to achieving
their communications interoperability vision:

access and provide the right information to the right people at the right time. As a nationally
recognized leader for rural interoperability, we are all guided by the philosophy of One Agency —
No Boundaries."

This project provides an opportunity for the region to continue with the ongoing implementation of the
RCIS and Action Plan in order to optimize rural interoperability and to share the outcomes of this project
with the CSSP and rural communities across Canada.
Scope
Under the leadership of the Regional Interop Committee the intent of this project is to develop a Rural
Interoperability Optimization(RIO) Plan and a supporting toolbox to assist the region in becoming increasing
resilient and self-sufficient in addressing their interoperability requirements.

Approach and Methodology
Effective and integrated project governance, project management, stakeholder consultations and
research will be central to the success of the RIO project and associated with each phase of the project.
Accordingly project efforts will be enabled through:
• Site visits and formal governance meetings

• Concept development through the governance model with a focus on a RIO Working Group
• Research and documentation reviews to ensure key deliverables reflect stakeholder inputs,
research and analysis

Within the scope of the project there are four distinct project phases:
• Phase 1 (December 2016 —March 2017)—Current State, Gap and Opportunity Assessment
• Phase 2 (April 2017—November 2017)—Rural Interoperability Optimization (RIO) Plan and an All
Source Tactical Interoperable Communications Plan (TICP)
• Phase 3 (November 2017 — June 2018) — All Source Technology Investment Plan/Technology

Where possible, project activities will be conducted concurrently to optimize learning and knowledge
transfer opportunities with the pject scope.
Project Phase Overview: An overview of each project phase is provided below,
Phase 1 (December 2016— March 2017)—Current State, Gap and Opportunity Assessment. This phase
will rely heavily on stakeholder consultations and research based study to identify current capabilities and
practices associated with the procurement and/or use of the following systems/capabilities by all
participating project stakeholders
• Land Mobile Radio (LMR) and Computer Aided Dispatch (CAD). The evaluation will include
creating an inventory of current voice and data information sharing capabilities and systems to
establish a benchmark of current Interoperability capabilities,which can then be used to identify
gaps and opportunities for improvement.
• EOC/lncident Management Systems, MASAS and COP. This will include an evaluation of tools
used currently; ie,vvebEO[, DLAN, MASAS, in the current state .
• Social Media.Cellular based services and social media are increasingly used as part of an effective
emergency communications plan.
Stakeholder consultations will include a tailored blend of online consultations, focus groups, and
workshops. These consultations will also be used to identify operational gaps and future requirements.
Research and technical assessments will also be conducted during this phase with a focus on standards
and interoperability.
The key deliverable associated with Phase 1 is a comprehensive Current State, Gap and Opportunity
Assessment Report (based on the results of the consultations and research).This report will identify key
recommendations that align with the current RCIS and Action Plan and which can form the basis for a

Rural Interoperability Optimization Plan. Recommendations will also consider practices from other
jurisdictions, open source research and promising results for recent and ongoing CSSP funded projects to
include the OCIP, ISAN,and KISS projects.
Phase 2(April 2017—December 2017)—Rural Interoperability Optimization(RIO)Plan and an All Source
Tactical Interoperable Communications Plan (TICP). This phase will focus on optimizing current
capabilities amongst project stakeholders through the development and implementation of a RIO plan
and a Tactical Interoperable Communications Plan. The RIO will consider each lane of the interoperability
continuum but with a focus on optimizing current technologies and capabilities.The TICP will also reflect
a 5 lane approach to ensure current capabilities provide optimal interoperability in support of day to day
operations, planned events and major incidents (up to and including a nuclear incident). The TICP will be
based on the template promoted by CITIG but tailored to reflect the requirements of the region (based
largely on the regional Hazard Identification and Risk Assessment (HIRA)) and the full range of sources
considered within the scope of this study and assessment.
The key deliverables associated with Phase 2 are the Regional Rural Interoperability Optimization Plan and
the Regional Tactical Interoperable Communications Plan.
Phase 3(December 2017—March 2018)—All Source Technology Investment Plan/Technology Roadmap.
This phase will focus on shaping future investments to enhance communications interoperability through
the development of a formal investment plan and a technology roadmap. The project will adopt a
standards based approach for the development of this plan and roadmap to ensure all future investments
contribute to a shared communications interoperability environment in alignment with other provincial
and national interoperability strategies to include Next Generation 911 (NG911) and Long Term
Evolution/Public Safety Broadband Network(LTE/PSBN).
The key deliverables for Phase 3 are a Technology Investment Plan and a Technology Roadmap.
Phase 4(April 2018—December 2018)—Rural Interoperability Optimization Toolbox and Exercise.This
phase will focus on developing a robust RIO toolbox and supporting a regional exercise (Exercise Trillium
Resolve) being conducted by regional stakeholders to validate the findings of the study and the key
concepts reflected in the TICP and Technology Roadmap. The RIO toolbox will include user aides,
presentations, training material, procurement tools and templates that will allow the region to become
increasingly self-sufficient and resilient as it relates to communications interoperability.
The key deliverables for Phase 4 are the Rural Interoperability Toolbox,support to the Regional Exercise
and a Project Close Out Report.
Effective project management and project reporting will be reflected in all phases of the project.
