HomeMy WebLinkAbout17 001 Cost Share Agreement (M.Wadsworth) By-law THE CORPORATION OF THE MUNICIPALITY OF KINCARDINE KBT CfPALITY OF 00"® BY-LAW NO. 2017 - 001 BEING A BY-LAW TO AUTHORIZE THE SIGNING OF A COST SHARE AGREEMENT WITH MARCUS WADSWORTH (177 Harbour Street) WHEREAS Sections 8 (1) and 9 of the said Municipal Act, provide that the powers of a municipality under this or any other Act shall be interpreted broadly so as to confer broad authority on the municipality to enable the municipality to govern its • affairs as it considers appropriate and to enhance the municipality's ability to respond to municipal issues and a municipality has the capacity, rights, powers and privileges of a natural person for the purpose of exercising its authority under this or any other Act; AND WHEREAS Marcus Wadsworth is the owner of the real property legally described as Part 1 as in Plan 3R-4801 and Part 1 as in Plan 3R-7969, Kincardine (177 Harbour Street); AND WHEREAS The Corporation of the Municipality of Kincardine is the owner of the real property legally described as Block E of RP 313, Kincardine (Block E); AND WHEREAS The Corporation of the Municipality of Kincardine wishes to construct certain shoreline protection works within Block E and which necessitate the partial encroachment onto 177 Harbour Street; AND WHEREAS the Municipality wishes to enter into an agreement regarding the cost sharing the portion of the protection works adjacent to 177 Harbour Street and the construction of protection works that partially encroach onto 177 Harbour Street; . NOW THEREFORE the Council of The Corporation of the Municipality of Kincardine ENACTS as follows: 1. That The Corporation of the Municipality of Kincardine enter into a Cost Share Agreement with Marcus Wadsworth, in accordance with the terms and conditions outlined in the agreement attached hereto as Schedule 'A' and forming part of this by-law. 2. That the Mayor and Chief Administrative Officer be hereby authorized to execute, on behalf of The Corporation of the Municipality of Kincardine, the agreement and any other documents required. 3. This by-law shall come into full force and effect upon its final passage. 4. This by-law may be cited as the "Cost Share Agreement (M. Wadsworth) By- law". Mayor Clerk This is Schedule "A d "to By-lLawY Noajo7 C I da COST SHARE AGREEMENT of n UC(y passe20 I the This Agreement made this 14th day of December, 2016 BETWEEN: THE CORPORATION OF THE MUNICIPALITY OF KINCARDINE (hereinafter referred to as "Kincardine") OF THE FIRST PART - and - Marcus Wadsworth (hereinafter referred to as"Marcus Wadsworth") OF THE SECOND PART WHEREAS Marcus Wadsworth is the owner of real property legally described as Part 1 as in Plan 3R-4801 and Part 1 as in Plan 3R-7969, Kincardine ("177 Harbour Street"); AND WHEREAS Kincardine is the owner of real property legally described as Block E of RP 313,Kincardine ("Block E"); AND WHEREAS Kincardine wishes to construct certain shoreline protection works (the "Protection Works")within Block E and which necessitate the partial encroachment onto 177 Harbour Street; AND WHEREAS the parties hereto wish to set out their agreement as to cost sharing the portion of the Protection Works adjacent to 177 Harbour Street; AND WHEREAS the parties hereto wish to set out their agreement for the construction of protection works that partially encroach onto 177 Harbour Street; NOW THEREFORE THIS AGREEMENT WITNESSETH that in consideration of the mutual terms and covenants hereinafter made and contained,the parties hereto covenant and agree as follows: 1. The construction of the protection works is generally identified on the Site Plan, Cross Sections and Details entitled `MacPherson Park Shoreline Protection' revision date November 9, 2016 (Issued for Tender), a copy of which is attached as `Schedule A' and forms part of this agreement. 2. Kincardine wishes to construct the shoreline protection work within Block E and over a portion of 177 Harbour Street as shown on the drawing contained in Schedule A 3. The total lineal metre length of the protection work is approximately 250 metres and extends from the north pier to the municipal parking lot at the end of Lambton Street. 4. There is mutual benefit associated with the construction of protection works along the lakeside frontage of Partl (3R-4801) consisting of 141.66' (43.17 m) and Part 1 (3R- 7969) consisting of 7.9' (2.4 m).The sum of the lakeside frontage represents a total length of 149.56 (45.57 m). The noted lengths are as per legal plan 3R-7969, a copy of which is attached as `Schedule B' and forms part of this agreement. 5. Marcus Wadsworth shall allow Kincardine: a. the right to construct,maintain,repair replace or renew, at all times the portion of the protection works that encroach onto or near 177 Harbour Street. b. the right of free and unimpeded access (from Block E) at all times including contractors, agents, employees,vehicles, equipment and supplies to and over the protection works that encroach onto or near 177 Harbour Street. c. the right to remove,trim, sever or fell any obstructions such as trees,roots, brush, stumps, boulders or rocks encountered during the course of construction or subsequent maintenance of the protection works. 6. The actual capital cost, of protection works, identified as having a mutual benefit, shall be proportioned equally between Kincardine and Marcus Wadsworth for the frontage length totaling 149.56 (45.57 m). 7. Marcus Wadsworth cost share/allocation amount is not to exceed $33,494.00, based on the pre-tender estimate, a copy of which is attached as `Schedule C' and forms part of this agreement. 8. Final calculated allocation amounts are to be based on the unit rates and quantities contained in the final payment certificate for Contract 16084 following the format of Schedule C. 9. Marcus Wadsworth shall pay Kincardine 50%within 30 days of receipt of cost share invoice. The remaining 50% shall be paid in quarterly payments beginning 90 days after the first payments due date. 10. Each party, shall at all times, indemnify and save the other harmless from and against all claims, including costs related thereto, for all damages or injuries including death to any person or persons and for damage to any property, arising from the construction and maintenance of the protection works by Kincardine, or by any persons who should encroach within the area of the protection. 11. This Agreement, including all rights,privileges and benefits herein contained shall extend to and be binding upon and enure to the benefit of the parties hereto and their respective heirs, executors, administrators, successors and assigns.
