BEING A BY -LAW TO AUTHORIZE THE SIGNING OF AN AGREEMENT WITH
B. M. ROSS AND ASSOCIATES LIMITED FOR PROFESSIONAL
ENGINEERING SERVICES
WHEREAS the Municipal Act, 2001, S.O. 2001, c. 25, as amended, Section 8 (1)
and 9 provides that the powers of a municipality under this or any other Act shall
be interpreted broadly so as to confer broad authority on the municipality to
• enable the municipality to govern its affairs as it considers appropriate and to
enhance the municipality's ability to respond to municipal issues and a
municipality has the capacity, rights, powers and privileges of a natural person for
the purpose of exercising its authority under this or any other Act;
AND WHEREAS the Council of The Corporation of the Municipality of Kincardine
deems it necessary to retain an Engineer to provide engineering services for a
broad range of projects;
AND WHEREAS with the passing of By -law No. 2008 -203 Council accepted a
proposal for such services from B.M. Ross and Associates;
AND WHEREAS Council deems it expedient to extend the services of B.M. Ross
and Associates as per Report No. PL 2013 -13 presented on October 16, 2013;
NOW THEREFORE the Council of The Corporation of the Municipality of
Kincardine ENACTS as follows:
1. That The Corporation of the Municipality of Kincardine enter into an
agreement, attached hereto as Schedule `A' and forming part of this by -law,
with B.M. Ross and Associates Limited for the provision of engineering
• services.
2. That the Mayor and CAO be authorized and directed to execute, on behalf of
The Corporation of the Municipality of Kincardine, the agreement with the B.M.
Ross and Associates Limited, attached hereto as Schedule "A ".
3. That this service be procured under 18.0 Ongoing Services and Contracts of
G.G. 2.17 Purchasing and Procurement Policy
4. This by -law shall come into full force and effect upon its final passage.
5. This by -law may be cited as the "General Engineering Agreement (B. M. Ross
and Associates Limited) By -law ".

AGREEMENT BETWEEN MUNICIPALITY AND ENGINEER FOR
PROFESSIONAL ENGINEERING SERVICES
This AGREEMENT made this day of ✓ , 2013
BETWEEN
THE CORPORATION OF THE MUNICIPALITY OF KINCARDINE
Hereinafter called the "Municipality" of the First Part,

B. M. Ross and Associates Limited
Hereinafter called the "Engineer" of the Second Part
WHEREAS The Municipality of Kincardine, the Municipality, wishes to retain the
Engineer to provide engineering services to for a broad range of projects, and
Whereas, the Municipality undertook a consultant selection process following the
issuance of a Terms of Reference (attached as Appendix A) which detailed the
general terms of the assignment in 2008, and
Whereas, B. M. Ross and Associates, the Engineer, has been selected to
provide such services in the manner as outlined in their proposal (attached as
Appendix B), and
Whereas, the Municipality will proceed with Policy GG.2.17 Purchasing and
Procurement and extend the services of the Engineer, and
Whereas Appendix B is amended to reflect the current Personnel, Structure and
Approach, Hourly Billing Rates for Key Personnel
NOW THEREFORE WITNESSETH that in consideration of the covenants
contained herein, the Municipality and the Engineer mutually agree as follows:
Article 1 - General Conditions
1.1 Ownership of Documents
The copyright in all drawings, reports, specifications, bills of quantities,
calculations and other documents (the "documents ") prepared or provided by the

Engineer in connection with the project belong to the Engineer. The Municipality
shall have a non - exclusive, royalty -free licence to use the documents for
Municipal purposes. The Municipality shall not use the documents other than for
Municipal purposes without the Engineer's prior written approval and upon such
terms as may be agreed between the Municipality and the Engineer. Record
documents for Municipal purposes shall be prepared in the format required by
the Municipality. The Engineer acknowledges that the documents may be
required due to the Municipal Freedom of Information and Protection of Privacy
Act.
With the consent of the Municipality, the Engineer may publish alone, or in
conjunction with any other person, any articles, photographs, or other
illustrations relating to the project. The Municipalities' consent for the
publication of such materials shall not be unreasonably withheld.
1.2 Patents
All concepts, products, or processes which are:
• produced by, or resulting from, the services rendered by the Engineer in
connection with the project;
• otherwise developed, or first reduced to practice, by the Engineer in the
performance of the services; or
• patentable, capable of trademark, or otherwise,
shall be and remain the property of the Engineer.
The Municipality shall have a non - exclusive, royalty -free licence to use all
concepts, products, or processes, which are:
• patentable, capable of trademark, or otherwise; or
• produced by, or resulting from, the services rendered by the Engineer in
connection with the project, for the life of the project, and for no other
purpose or project.
All costs incurred to obtain patents or trademarks shall be reimbursed by the
Municipality.
1.3 Confidential Information
It is the responsibility of each party to identify to the other party all confidential
information connected with this project.
Confidential information acquired in the course of this project shall not be
used or divulged by either party, or their employees, consultants,
subconsultants or agents, without the prior written approval of the other party,
or as may be required by regulatory authorities having jurisdiction.
This requirement shall not prohibit the Engineer from acting to correct or report a
situation that the Engineer may reasonably believe to endanger the safety or
welfare of the public, provided the Engineer notifies the Municipality that the
Engineer intends to provide such notice as soon as reasonably possible.
In the event that the Engineer becomes legally compelled to disclose
confidential information, the Engineer shall forthwith notify the Municipality of
this requirement. Such disclosure shall not result in any liability hereunder.
1.4 Insurance and Liability
The Municipality agrees that any and all claims that the Municipality has or
hereafter may have against the Engineer in any way arising out of or related to
the Engineer's duties and responsibilities pursuant to this agreement shall be
limited to the amount of $2,000,000.
For the purposes of this provision, "claim" or "claims" means a claim or claims in
contract or tort and the "Engineer" includes the Engineer's officers, directors,
employees, representatives and consultants.
(a) Comprehensive General Liability and Automobile Insurance
The insurance coverage shall be $ 2,000,000 for general liability and $
5,000,000 for automobile insurance. When requested, the Engineer shall
provide the Municipality with proof of comprehensive General Liability and
Automobile Insurance (inclusive limits) for both owned and non -owned
vehicles.
(b) Professional Liability Insurance (Errors and Omissions)
The insurance coverage shall be in the amount of $2,000,000. When
requested, the Engineer shall provide to the Municipality proof of
Professional Liability Insurance carried by the Engineer.
(c) Change in Insurance Coverage
It is understood and agreed that the Engineer shall not change or cancel
the insurance coverage provided for this project until 60 days after written
notice of such change or cancellation has been personally delivered to
the Municipality.
1.5 Fee Mediation
The Association of Professional Engineers of Ontario has established a Fees
Mediation Committee (FMC) in compliance with the Professional Engineers Act,
R.S.O. 1990, ChapterP.28. Unless the FMC considers it inappropriate to do so,
the FMC shall mediate any written complaint the Municipality makes to the
Association of Professional Engineers of Ontario respecting the fee charged by
the Engineer for professional engineering services provided to the Municipality

under this agreement.
With the written consent of both parties, the FMC may arbitrate a dispute
between the Municipality and the Engineer respecting a fee. In that case, the
decision of the FMC is final and binding on all parties to the dispute. Where the
FMC acts as an arbitrator, the Arbitration Act does not apply.
1.6 Arbitration
With the consent of both parties, all matters in dispute under this agreement
may be referred to arbitration.
No person shall be appointed to act as an arbitrator who has an interest, financial
or otherwise, in the conduct of the work on the project, or the business or other
affairs of either the Municipality or the Engineer.
The arbitrator's award shall be final and binding upon the parties. The
provisions of the Arbitration Act shall apply.
1.7 Successors and Assigns
This agreement shall inure to the benefit of, and be binding upon, the parties
hereto and their executors, administrators, successors and assigns, except as
otherwise provided herein. Neither party may assign this agreement without the
prior written consent of the other.
1.8 Changes, Alterations and Additional Services
After giving notice to the Engineer, the Municipality may, in writing, at any time
after the execution of the agreement or the commencement of the services,
extend, increase, vary, delete or otherwise alter the services or the insurance
requirements forming the subject of this agreement. If such action by the
Municipality necessitates additional staff, services, or costs, the Engineer shall
be paid in accordance with Article 4 for such additional staff employed directly
therein, together with such expenses and disbursements as allowed under
Article 4. Any reduction in the requirement for services shall be the subject of
negotiation.
1.9 Termination and Suspension
By 90 days notice in writing to the Engineer, the Municipality may at any time
suspend or terminate the services or any portion thereof at any stage of the
undertaking. Upon receipt of such written notice, the Engineer shall perform no
further services other than those reasonably necessary to close out the
Engineer's services.
If either party to this agreement is in default in the performance of any of the
party's obligations set forth in this agreement, the other party may require that
such default be corrected by written notice. If within 30 days of receipt of such

notice such default is not corrected, the other party may immediately terminate
this agreement, without limiting any other right or remedy he or she may have.
If the Municipality changes significantly the requirement for the Engineer's
services, and subsequent negotiations fail to resolve the matter, the Engineer
may terminate this agreement by notice in writing to the Municipality.
In the event of suspension or termination of the project resulting from the
aforementioned circumstances, the Municipality shall pay the Engineer for all
services performed. Payment shall be calculated in accordance with Section
4.2.1 for any of the Engineer's staff employed directly thereon, together with
such expenses and disbursements as are allowed under Sections 4.2.2.
1.10 Records
To provide data for the calculation of fees on a time basis, the Engineer, the
Engineer's employees, consultants and subconsultants shall keep a detailed
record of the hours worked by their staff employed on the project.
The Municipality may inspect these records during regular office hours, on
receipt of reasonable notice respecting any item that the Municipality is
required to pay on a time basis as a result of this agreement.
When requested by the Municipality, the Engineer shall provide copies of
receipts for any disbursements for which the Engineer claims payment under
this agreement.
1.11 Indemnification
Each party to this agreement shall indemnify and save harmless the other party
from and against all claims, actions, losses, expenses, costs, or damages that
the other party may suffer, sustain, or incur arising from the other party's
negligent acts or the negligence of the other party's employees, directors,
officers, consultants, subconsultants or agents in the performance of this
agreement.

The Municipality further agrees to hold harmless, indemnify, and defend the
Engineer and the Engineer's sub - consultants from and against any and all
claims, losses, damages, liability, and costs of defence arising out of, or in any
way connected with, the presence, discharge, release, or escape of
contaminants of any kind, unless such discharge, release or escape is caused by
the act of the Engineer's sub - consultant, in which case the sub - consultant shall
be responsible for such discharge, release or escape, including issues pursuant
to the Environmental Protection Act.
1.12 Disclosure
Before commencing Engineering services, the Engineer, on the Engineer's
behalf and on behalf of the Engineer's consultants and subconsultants, shall
disclose to the Municipality all existing affiliations with firms or individuals who
may participate in the execution of the project. During the term of this agreement,
the Engineer and the Engineer's subconsultants shall also disclose to the
Municipality any new affiliations. Upon receipt of this disclosure, the Municipality
shall accept or reject the affiliated firms or individuals, or shall terminate this
agreement.
1.13 Approval by Other Authorities
Unless otherwise provided in this agreement, or explicitly required by legislation,
where the work of the Engineer is subject to the approval or review of an
authority, government department, or agency other than the Municipality,
preparation of applications for approval or review shall be the Engineer's
responsibility, but shall be submitted through the Municipality's offices. Unless
authorized by the Municipality in writing, such applications for approval or review
shall not be obtained by the Engineer's direct contact with such other authority,
government department, or agency.
1.14 Cons ultants /Subconsultants
Specialized consultants and subconsultants may form part of the Engineer's
team. These consultants and subconsultants shall not be retained by the
Engineer without the Municipality's prior approval.
Article 2 - Responsibilities of the Municipality
2.1 General Responsibilities
The Municipality shall:
a) instruct the Engineer fully as to the Municipality's requirements and make
available to the Engineer all relevant information the Engineer requires,
including design objectives, constraints and criteria, special equipment and
systems, site requirements, and project budget. The Engineer shall be
entitled to rely upon the accuracy and completeness of all such information
and data furnished through the Municipality, or the Municipality's
consultants, whether such consultants are engaged at the Engineer's
request or not;
b) engage others directly, where required by the Engineer, to perform the
specialized services (e.g. a legal survey of the project site, a geotechnical
report, testing, etc.) necessary to enable the Engineer to carry out fully the
Engineer's duties. The retention of such specialized services by the
Municipality shall be subject to the joint approval of the Municipality and
the engineer;
c) give the Engineer the authority to act as the Municipality's agent in all
matters falling within the scope of the Engineer's services;
d) review promptly all documentation submitted by the Engineer, and inform
the Engineer of decisions in time for the orderly progress of the
Engineer's services and of the project;
e) obtain and pay for all required consents, approvals, licences, and permits
from authorities having jurisdiction;
f) arrange and make provision for the Engineer's entry and access to public
and private property and the project site in the performance of the duties;
g) arrange and pay for tender advertising, and any legal, financial or
insurance advice required for the project;
h) designate in writing a representative to have authority to transmit
instructions to, and receive information from, the Engineer, and advise
the Engineer in advance if this representative is to be changed;
i) notify the Engineer immediately, whenever the Municipality, or the
Municipality's representative, becomes aware of a defect or deficiency in
the work, or the contract documents.
Article 3 - Engineering Services Provided under this Agreement
3.1 General
Under this agreement, the Engineer shall render services to the Municipality "in a
timely manner ", and with the degree of care, skill and diligence normally provided
in the performance of services for similar projects to that contemplated by this
agreement, at the time and place that such services are rendered.

3.2 Specific Services Provided Under this Agreement
In connection with the assignment, the Engineer shall perform the services as
outlined and in Appendices A and B, which form part of this agreement.
These services shall include, but not be limited to the following:
• Subdivision and site plan administration — development review
• Infrastructure master plans and rate structures
• Municipal infrastructure design, construction, and construction
administration including:
• Environmental Assessments
• Roads and transportation
• Bridges and culverts
• Water supply and distribution
• Wastewater collection and treatment
• Water resource and marine engineering
• Geotechnical and hydrogeologic services
• General municipal services
• Such other services as may be assigned by the Municipality
The intent of this assignment is that the Engineer will provide all engineering
services required by the Municipality during the term of the Agreement.
The Municipality reserves the right to retain other consultants for projects
which the Municipality feels are minor in nature with respect to this contract.
The Engineer reserves the right to refuse tasks, in consultation with the
Municipality, for services that the Engineer feels are beyond their experience
or capacity. The Engineer may partner with another firm or retain a sub -
consultant in addition to those listed in Appendix B upon approval of the
Municipality.
3.3 Term of Agreement
This Agreement shall extend from the date signed until December 31, 2017.
As per Policy GG.2.17 Purchasing and Procurement the Municipality may
renew this Agreement upon consultation with the Engineer.
Article 4 - Fees and Disbursements
4.1 Definitions
For the purpose of this agreement, the following definitions shall apply:
4.1.1 Hourly Billing Rate
The hourly billing rate is defined as the hourly rate for billing purposes for each
of the Engineer's employees working on the various phases of the project. It
shall include charges for computers and equipment used by the Engineer for
the project. This rate is subject to cost of living and merit adjustments at the
beginning of each calendar year. Upon the publication of annual rates, the
Engineer will review said rates with the Municipality's representatives.
4.2 Basis of Payment
4.2.1 Fees Calculated on a Time Basis
The Municipality shall pay the Engineer a fee, calculated on a time basis, for that
part of the services described as such in Section 3.2. Fees shall be computed
on the basis of hourly billing rates as included in Appendix B, which forms part of
this agreement as might be amended from time to time in accordance with
Section 4.1.1.
All time expended on the assignment shall be chargeable, whether it is
expended in the Engineer's office, at the Municipality's premises, or elsewhere.
Chargeable time also includes, but is not limited to, time expended by
stenographic and clerical staff to prepare such documents as reports and
specifications.
Reimbursable expenses, specialized computer services and equipment, and
applicable sales taxes are additional to the fees calculated on a time basis.
4.2.2 Reimbursable Expenses
The Engineer shall be reimbursed at cost, plus an administrative charge of 5 %,
for all reasonable expenses the Engineer incurs properly in connection with the
project, including applicable sales taxes. Reimbursable expenses include, but are
not limited to:
• vehicle use charges;
• travelling and living expenses;
• printing and reproductions;
• progress photographs;
• special or express delivery charges;
• fees for permits, approvals, or licenses;
• specialized supplies and equipment;
• specialized chemical and physical tests;.
4.2.3 Applicable Sales Taxes
Applicable sales taxes comprise federal and provincial sales taxes, and value
added taxes applicable to the Engineer's fees or any other payments

hereunder, such as the Harmonized Sales Tax (HST).
4.3 Payment
4.3.1 Fees Calculated on a Time Basis
Unless the Municipality has consented to the contrary, the Engineer shall
submit monthly to the Municipality invoices identifying the:
• The specific project being invoiced;
• Engineer's consultants' and subconsultants' employees;
• time spent by these employees on the project; and
• hourly billing rates, reimbursable expenses, specialized computer services
and equipment, and applicable sales taxes for all services completed in
the immediately preceding month.
4.3.2 Payment by the Municipality
The Municipality shall pay within 30 days after submission all invoices the
Engineer submits to the Municipality under this agreement.
Interest at 1.0% per month shall be paid on the total unpaid balance,
commencing 30 days after the date of the Engineer's invoice.
4.3.3 The Engineer's Right to Stop Rendering Services
If any invoice submitted by the Engineer remains unpaid by the Municipality for
90 days from the date the invoice was submitted, the Engineer may give seven
days' written notice to the Municipality that the Engineer will stop rendering
services.
If within seven days of delivery of this notice the Municipality has not paid the
Engineer's invoice and the Engineer and the Municipality have not agreed in
writing on terms for payment of the invoice, the Engineer may stop rendering
services on the project. In that event, the Municipality shall not have any claim
whatsoever against the Engineer for any loss, cost, damage or expense incurred
or anticipated to be incurred by the Municipality as a result.
The rights of the Engineer given in this section are in addition to, rather than a
substitute for, any other rights the Engineer may have under this agreement, or
otherwise, for non - payment of the Engineer's invoices by the Municipality.
IN WITNESS THEREOF the parties hereto have caused to be executed by
their officers properly authorized in that behalf on the day and year first above
written.

ENGINEERING SERVICES
REQUEST FOR PROPOSAL
TERMS OF REFERENCE
A. TECHNICALIMANAGERIAL SECTION
INTRODUCTION
1.1 General
The Municipality of Kincardine is located on the shores of Lake Huron in the County of Bruce.
It has a population of 12,000 and covers an area of approximately 580 square kilometers.
The municipality, located at the mouth of the Penetangore River, was created in 1999 by the
amalgamation of the Town of Kincardine, the Township of Kincardine, and the Township of
Bruce. It was formerly known as Penetangore.
In addition to the town centre, Kincardine contains the following small communities:
• Armow
• Bervie
• Glammis
• Inverhuron
• Millarton
• North Bruce
• Tiverton
• Underwood
The Municipal government is overseen by a Council of nine. The Council consists of a Mayor
elected at large, two Councillors elected from Ward 1 (the former Town of Kincardine), one for
Ward 2 (the former Township of Kincardine), one from Ward 3 (the former Township of
Bruce), and three elected at large.
The economy of Kincardine is dominated by the Bruce Nuclear Power Development which is
currently operated by Bruce Power, a private company under lease from Ontario Power
Generation. There is also a thriving agricultural and tourist industry, emphasizing sandy
beaches, beautiful sunsets and Scottish cultural tradition.
The Municipality is advertising a request for proposals for the provision of engineering
services to the Municipality. The services to be provided encompass a wide range of
engineering activities related to the day to day function of the Municipality and generally

1.3 Declaration of Conflict of Interest and Legal Status
The Municipality considers that any firm which provides consulting services during their
retainer with the Municipality to Property Owners within the Municipality or have pending legal
action against the Municipality would have a conflict of interest in working for the Municipality.
All RFP's must include an affidavit confirming that the firms which are included in the proposal
do not have any such conflict of interest or have pending legal action with the Municipality.
1.4 Insurance
Consultants are requested to list their insurance policies in force and limits of coverage (i.e.
Professional Liability Insurance, Commercial General Liability and Automobile Insurance and
any other applicable insurance).
The successful Consultant must, at the time of Appointment, provide copies of insurance in
the amount of $2,000,000 for Professional Liability Insurance, $5,000,000 Commercial
General Liability Insurance and $5,000,000 Automobile Insurance.
1.5 Interviews
Consultants responding to the RFP may be required to attend an interview with the
Municipality. The interview will be undertaken by members of Council, Committee Members
and staff.
The interview process will entail a twenty (20) minute presentation by each Consultant
followed by a thirty (30) minute question and answer period. The Firm's appointed Principal

must be present at the interview. The times for each interview will be provided after the
submission of proposals.
1.6 Services Agreement
Final acceptance of the successful Consultant's proposal by the Municipality shall be
conditional on the execution of an Agreement between the two parties. The Agreement for
professional services is envisaged to generally follow the format of the Professional Engineers
Ontario "Sample Agreement between Client and Engineer for Professional Engineering
Services" However, the Municipality in discussions with the selected consultant may change,
delete or incorporate additional clauses as deemed appropriate to the Municipality.
This proposal, any addenda and the Consultant's submission shall be part of the Agreement
and be contained in an Appendix to the Agreement.

As previously noted, the Municipality shall not be liable for any costs or actions whatsoever
associated with the preparation of and submission of a proposal by a Consultant in response
to this RFP.

2. SCOPE OF ENGINEERING SERVICES TO BE PROVIDED
The Consultant is expected to provide engineering advice and design services to the
Municipality in five (5) general areas as follows:
2.1 Subdivision and Site Plan Administration
The Consultant will assist the Municipality in negotiations for the approval of Residential
Subdivisions and Site Plans within the Municipality. The services to be provided generally
include assistance to the staff and municipal solicitor in the development of Subdivision
Agreements, Development . Agreements, Service Finance Agreements and Site Plan
Agreements. The Consultant will also review and approve, on behalf of the municipality,
subdivision and site plan drawings and specifications. The Consultant will assist with
inspections on behalf of the Municipality as required.
2.2 Municipal Infrastructure Master Plans and Rates Studies
The Consultant will assist municipal staff in preparation of annual budgets as well as long term
capital forecasts. In addition, the Consultant will assist the Municipality in long term
infrastructure planning specific to the development or amendments to the Municipality's
Official Plan, Development Charge Background Studies, and preparation of Water and Sewer
Rate Studies this would include attendance at public meetings and hearings. Finally, the
Consultant will also assist the Municipality in PSAB compliance inventory development and
maintenance.
2.3 Municipal Infrastructure Design and Construction
2.3.1 Roads, Bridges and Culverts
The Consultant will assist the municipality in the long term management of municipal roads,
bridges and culverts. This will include development of Master Plans and long term capital
forecasts for the management of municipal infrastructure. The Consultant will also be
responsible for the design, construction and contract administration of roads, bridges and
culverts.
2.3.2 Water Supply and Distribution
The Consultant will be responsible for the design, construction and contract administration of
municipal projects on an annual basis related specifically to the municipally owned and
operated water supply and distribution systems. The Consultant will also assist the
Municipality in the preparation of responses to inspection reports, interpretation of the Ontario
Drinking Water Regulations and preparation of Operational Plans specific to the municipal
systems.
2.3.3 Wastewater Collection and Treatment
The Consultant will be responsible for the design, construction and contract administration of

municipal infrastructure projects specifically related to wastewater collection and treatment.
The successful Consultant will be expected to co- ordinate all design services related to
roads, bridges and culverts; water supply and distribution; wastewater collection and
treatment including all aspects of design, construction and contract administration as
well as all requirements specific to the environmental assessment processes specific
to each project and will be responsible for obtaining all necessary approvals on behalf
of the municipality on a project by project basis.
2.3.4 Water Resources and Marine Engineering
The Municipality requires engineering services specific to water resource projects including
shorelines, river and marine engineering projects including capital projects related to the
Municipality's harbour facilities. The services provided may also include water quality services
related to lakeshore water quality investigations and studies.
2.4 Geotechnical /Hydrogeological Services
The Consultant is required to provide geotechnical /hydrogeological services related to the
design and construction of municipal infrastructure, groundwater studies related to municipal
water supply and Source Water Protection planning.
2.5 General Services
In addition to providing engineering servicing specific to subdivision administration, municipal
infrastructure design, water resources and geotechnical /hydrogeological projects, the following
general services are to be provided by the Consultant:
• Attendance at council /committee meetings as required,
• Assist the Municipality in the preparation or amendment of By -laws,
• Assist Building Department with Building Code interpretation,
• Assist municipal solicitor in matters pertaining to involvement of Provincial or
Federal Regulations, subdivision agreement and /or service finance agreement
preparation and matters of contractual law specific to municipal projects,
• Assist municipality in preparation of Provincial /Federal grant applications,
• Assist municipality in negotiations and preparation of agreements with Upper
Tier governments and /or neighbouring municipalities.
3. PERSONNEL -, ORGANIZATIONAL STRUCTURE AND PROJECT
MANAGEMENT
3.1 Key Personnel
All personnel shall be thoroughly experienced and qualified in the disciplines required to
provide the level of service required by the Municipality.

A listing of the nominated key personnel is to be provided, noting the following information in
tabular form: name, title, role in the appointment, education, professional registration(s), years
of experience, brief outline of undertakings relevant to the Terms of Reference. A separate
one paragraph summary for each nominated key individual is to accompany the listing with a
half page summary of the assigned Principal staff member who will be the main liaison with
the Municipality. The qualifications of the individual assigned as the main liaison to the
Municipality is of particular importance to the Municipality.
If a sub consultant(s) is to be engaged, the key individual(s) shall also be indicated in the
above listing and flagged as a sub consultant along with a one paragraph summary. Also, the
corporate name and address of the sub consultant shall be provided along with a description
of the role of the sub consultant.
Resumes for the above nominated Consulting team members are to be provided, and should
include a listing of recent technical presentations at conferences and any recent published
papers, memberships in Associations, positions held in the Associations and notation made of
any awards received. Resumes are to be included in an identified Appendix.
There shall be no change in the nominated personnel or sub consultants without the written
approval of the Municipality.
3.2 Project Organizational Diagram
An Organizational Diagram noting the nominated key personnel and their respective roles is to
be prepared. Sub consultant(s) key staff and related roles are also to be indicated and flagged
as a sub consultant team member.
4. LOCAL KNOWLEDGE
A brief summary (maximum one page) regarding the Consultant's local knowledge pertaining
to the Municipality of Kincardine and environs is to be provided in the Consultant's proposal.
5. RELATED AND CORPORATE EXPERIENCE
5.1 Related Experience
A listing of recent experience directly related to the provision of Municipal Engineering
Services is to be provided.
In reporting the "Experience Directly Related to this Appointment ", a tabular submission by
Heading is requested noting:

• Brief Description of services provided
• Principal and other key personnel.
An introductory statement or outline is to accompany the above Table.
Profiles of the related assignments noted in the above tabular submission and profiles of other
similar assignments undertaken by the Consultant are to be included in the proposal.

A Corporate brochure is to be included as part of the proposal Appendix material. A brochure
for any sub consultant engaged is to also be included. Alternatively, or in addition to providing
corporate brochures, the Consultant may reference their corporate web site(s).
6. REFERENCES
A listing of three (3) references that can be contacted are to be noted. The following
information for each of the references is requested:

7. COMMENTS
The Consultant is invited to offer a commentary on any special attributes, unique aspects or

B. FINANCIAL /QUALITY CONTROL SECTION
8. FEES AND DISBURSEMENTS
8.1 Fees
Fees for services (including those for any sub consultants) rendered under the Project are to
be on a time basis. The fees are to be computed on hourly billing rates.
8.2 Reimbursable Expenses
8.2.1 Standard Expenses
Standard Expenses are in addition to the above fees.
Standard reimbursable expenses include but are not limited to: vehicular mileage, traveling
expenses, long distance telephone and fax charges, printing and reproductions, progress
photographs, courier charges, all fees for required approvals, permits, licenses and alike, etc.
The Consultant is required to specify the company's policy on markup (as a percentage) that

will be applied to any expenses or disbursements incurred through their appointment with the
Municipality.
8.3 Financial Proposal
Hourly Billing Rates are to be provided for all Key Personnel listed in Sections 3.1 and
3.2.
8.4 Quality Assurance /Cost Control Measures
The Consultant is requested to outline their proposed method to monitor and control
Consultant costs (fees) and quality assurance.
C. PROPOSAL EVALUATION PROCESS AND CRITERIA
9.1 General
The proposal submissions will be reviewed and evaluated by a panel of Municipality
representatives.
At the discretion of the Municipality, the Municipality may request clarification of a Consultant's
proposal at any time during the evaluation process. Seeking clarification of any aspect(s) of
the Consultant's submission during the evaluation process shall not be construed in any way
as acceptance of the Consultant's proposal.
9.2 Criteria: Technical /Managerial /Financial Weighting
Each proposal will be evaluated based on a maximum weighted score of 200 points, based on

in the sole judgment of the Municipality, most effectively meets the requirements of the
Municipality.

In response to your enquiry, we wish to confirm that B. M. Ross and Associates Limited
is interested in extending the current contract for engineering services as outlined in section 3.3
of that agreement. We are prepared to continue the existing relationship and provide engineering
and environmental planning services as required from time to time by the Municipality.
Key personnel outlined under the existing agreement will not change. As there has been
an ongoing relationship, staff are aware that some support staff have changed and how their role
exists within the company to assist Kincardine in its needs. We attach for your reference two
pages outlining key staff from our proposal in 2008. These pages have been updated. The only
real change is the titles of some of the staff members listed.
BMROSS' extensive experience and local knowledge in the Kincardine area dates to
1960. We have been providing services to municipalities in southwestern Ontario for over 62
years. We focus on small municipalities. Our principals are involved in all projects and are .
available to assist municipalities at any time.
Under the current agreement, fees are billed on an hourly basis. We are routinely asked
to provide budgets to the municipality for expected construction costs and engineering and
planning fees. We know that our hourly rates are competitive with other firms that we consider
our peers. Hourly rates change each year based upon the impact of inflationary pressures and
merit increases to BMROSS staff. We are prepared to review these hourly rates annually with
Municipal staff. A rate sheet outlining current rate ranges is attached for your reference.

Section 2.4
Although the Request for Proposal is not a project specific document, the Consultant is asked
to provide a list of sub consultants as per items 2.3.4 and 2.4.
The Municipality recognizes that a specific project may require the services of a sub consultant
that are not identified in the submission. This change may be reviewed on a project by project
basis.
Item 3.1 "There should be no change in the nominated personnel or sub consultants
without the written approval of the Municipality."
Section 8.3
Section 8.3 does require the inclusion of hourly billing rate for key personnel listed in Sections
3.1 and 3.2.
The Consultant is to provide an hourly rate that is in place for the year 2008 and further is
required to explain how these hourly rates will change over the term of the contract on an
annual basis.

1.0 PERSONNEL, ORGANIZATION STRUCTURE
AND PROJECT MANAGEMENT APPROACH
1.1 Introduction
The Municipality of Kincardine, located along Lake Huron in the County of Bruce, is uniquely
situated in southwestern Ontario. Not only does it host the Bruce Nuclear Power Development,
which dominates its economic activity, it is a gem for the tourist industry along the Lake Huron
shoreline and boasts a strong agricultural sector. The Municipality was created with the
amalgamation of the Township of Kincardine, the Town of Kincardine and the Township of
Bruce. The Township of Bruce was previously an amalgamation which included the Village of
Tiverton.
We at BMROSS have valued our relationship with both the new and former Municipalities. We
look forward to continuing this relationship and submit our proposal in response to your RFP, a
copy of which is attached as Appendix "A ".
1.2 Understanding the Assignment
The Municipality of Kincardine wishes to appoint an engineering firm to provide engineering
and design services for a five year term. These services, identified by the Municipality, are
outlined below.
1.2.1 Subdivision and Site Plan Administration (Development Review)
BMROSS will assist the Municipality in the review of submissions for subdivisions and site
plans for approval, will assist in negotiations of servicing details and the preparation of
agreements. The work will include assistance to Municipal staff and the Municipality's solicitor
on agreements and financing arrangements. BMROSS will assist in the review of submission
documents and co- ordinate Municipal approvals with other government agencies. BMROSS will
take a lead role in negotiations with Developers, as required from time to time. Following
completion of the works, we will assist in inspections on behalf of the Municipality, as needed.
1.2.2 Municipal Infrastructure Master Plans and Rate Studies
Long -term infrastructure planning is important for Kincardine, both from the perspective of
individual developments and municipal -wide infrastructure improvements. BMROSS is able to
assist the Municipality to fulfill their needs in the preparation of Master Plans, capital forecasts,
assist with annual budgets and provide guidance on infrastructure planning. We are prepared to
assist in development of, or amendments to, the Municipality's Official Plan, Zoning Bylaws and
Development Charges Background Studies. We are prepared to complete water and wastewater
rate studies and can assist in PSAB compliance inventories as required.

Senior staff of BMROSS have considerable experience in attending public meetings and hearings
and can provide guidance and leadership where these duties are required.
1.2.3 Municipal Infrastructure Design and Construction
As outlined elsewhere in this proposal, BMROSS has vast experience in municipal infrastructure
design and implementation, and can provide assistance as required.
(a) Environmental Assessment Requirements
Environmental assessment work is imperative to provide proper planning and environmental
responsibility as it relates to completion of municipal infrastructure projects. BMROSS is well
acquainted with the appropriate legislation and procedures necessary to complete this planning
process in preparation for capital infrastructure works.
(b) Roads and Transportation
Transportation infrastructure is important within the Municipality. BMROSS has assisted
Kincardine in the development of its road's inventory and capital forecasting. We are available
to assist in continued upgrading and maintenance of this document. BMROSS is experienced in
the design, construction and contract administration of all types of road reconstruction as might
be required within the Municipality.
(c) Bridges and Culverts
BMROSS is experienced in the design, construction and contract administration of bridges and
culverts. We can meet the Municipality's needs in updating the structural inventory master plan
and long -term capital forecasts for the management of this valuable infrastructure.
(d) Water Supply and Distribution
Kincardine requires an Engineer who is current with Provincial drinking water legislation and
the constantly changing requirements that the Province has placed upon municipalities for the
operation of their systems. We can assist the Municipality in responding to inspection reports
and interpretation of these standards. BMROSS will take the responsibility for design,
construction and contract administration for municipal water supply and distribution projects.
(e) Wastewater Collection and Treatment
BMROSS will assist the Municipality by taking responsibility for design, construction and
contract administration for projects related to wastewater collection and treatment. We also are
able to assist in responses to inspection reports and interpretation of Provincial standards and
conformance to Certificates of Approval for treatment standards.

(f) Water Resources and Marine Engineering
BMROSS can assist the Municipality in maintenance and capital projects related to the
Municipality's harbour facilities and projects related to shorelines, river and marine
environments. These works might include water quality studies of river or lakeshore water
quality adjacent to municipal developments.
(g) Co- ordination and Approvals
BMROSS will co- ordinate the design, construction and contract administration with the specific
requirements as a result of Environmental Assessments and review by approval agencies. As
part of this assignment, BMROSS will assist Kincardine by completing applications and
obtaining the necessary approvals from government agencies for all infrastructure work on each
individual project.
1.2.4 Geotechnical/Hydrogeology Services
BMROSS, as part of its services to the Municipality, will provide, as required, geotechnical
and /or hydrogeologic services. Geotechnical services will be provided with the assistance of
Atkinson, Davies Inc., London, Ontario, a firm that has worked with BMROSS traditionally in
the past in the Kincardine area and elsewhere in southwestern Ontario. Hydrogeologic services
will be provided by Ian D. Wilson Associates Limited. These qualified sub - consultants will be
available to assist in the design and construction of municipal infrastructure, groundwater
studies, water supply and source water protection issues.
Where the skills and experience of these firms is not appropriate for the specific project or issue,
BMROSS will identify and propose, for the purpose of approval, an alternate firm.
1.2.5 General Municipal Services
As part of an ongoing relationship with the Municipality, engineering services are required for a
wide variety of tasks. BMROSS is prepared to attend Council and Committee meetings as
required. We have experience in assisting Municipalities in the preparation or amendments to
various bylaws and assisting building departments with Building Code interpretations. We are
available to provide advice to Municipal solicitors with respect to Provincial and Federal
regulations and assist in agreements, both contractually and financially for subdivisions or other
development issues. We are accustomed to assisting Municipalities in the preparation of
Provincial and Federal grant applications and in negotiations or agreements with adjacent
Municipalities or upper tier levels of government. Senior staff has attended numerous hearings
before the Ontario Municipal Board and other tribunals.
1.3 Personnel, Organizational Structure and Project Management
BMROSS takes great pride in the quality of our staff and the ability we have to provide
appropriate services to assist Municipalities in obtaining their project goals.

Key personnel to be assigned to Kincardine are as listed below. In addition to the listing below,
attached, in tabular form, as Table 1, are outlines of key personnel including their role, education
background, professional registrations, years of experience and an outline of their responsibilities
relevant to this assignment.
The main liaison between the Municipality and BMROSS will be with Bruce W. Potter,
P. Eng. Bruce is a Professional Engineer, designated as a Consulting Engineer by PEO, with 34
years of experience in providing municipal engineering and infrastructure advice to
Municipalities in the area. Bruce has a varied experience in design, construction and
construction administration, including a considerable history providing structural design to
sewage and water treatment and pumping facilities. He has vast experience with the design,
construction and contract administration of roads, sewers and water projects. He has been a
Project Manager for the design of several MTO road projects and sat on the Consulting
Engineer's Association MTO Liaison Committee for a period of time.
In recent years, Bruce's focus has been one of a Senior Engineer assisting other Project
Managers in the design and construction of major infrastructure, and that as a Municipal
Engineer offering advice on a wide range of development issues. More than half of Bruce's time
is spent working on development issues for the many Municipalities BMROSS provides services
to. He has testified at a number of OMB hearings on behalf of municipal interests and is
comfortable with making presentations to Councils, developers and the general public. Bruce is
also the Vice - President of B. M. Ross and Associates and has certain managerial responsibilities
within that firm. BMROSS has a large staff of key personnel available to assist and take
responsibility for projects in the identified areas.
Steve Burns is the President of B. M. Ross and Associates Limited and an experienced
Environmental Engineer. Steve would take the lead role with the Municipality in master plans
and rate studies, water supply and distribution projects, and wastewater collection and treatment
projects. Steve's many years of experience provide for a valuable resource in the consideration
of the many services required by the Municipality. Steve has a great deal of experience in
making public presentations and attending hearings before the OMB or other Boards.
Matt Pearson is a senior Partner with BMROSS and is responsibility for the environmental
planning group within the company. He provides leadership in the environmental assessment
area with the completion of Class EA's. He also provides assistance to Municipalities regarding
infrastructure, planning and financing. Matt is involved in subdivision development approvals
from a planning perspective and has taken leadership in the water quality monitoring programs
completed by the company. In his spare time, he is involved with a number of local
environmental initiatives.

Darren Alexander will be responsible for the roads and transportation services to be provided to
the Municipality. As part of road construction, there are typically significant investments in
infrastructure, being sanitary, water and storm sewers. Darren has considerable experience in
incorporating and co- ordinating these utilities with road reconstruction programs.
Andrew Ross is a Senior Partner with BMROSS and is responsible for the structural group that
provides services for bridges and culverts. He would take the leadership role for services in the
design, construction and contract administration for bridges, culverts and other structure projects.
Dale Erb has broad experience in water resources and environmental areas. He is responsible
for stormwater management issues, flooding and bridge hydrology studies. Dale will take the
primary role in water resources projects, will assist with development review tasks and have
involvement in environmental and infrastructure projects.
Kelly Vader joined BMROSS in 2005, following a lengthy career with a local Conservation
Authority. As an Environmental Planner, she provides leadership in the completion of
environmental assessments and project planning. Because of her strong background in
Conservation Authority work, she provides assistance to other staff with natural environmental
related issues on projects.
Ken Logtenberg is a Senior Structural Engineer at BMROSS. Ken takes responsibility for the
design, construction and contract administration for bridges and culverts and many other
structural projects. Ken has represented BMROSS by taking a leadership role in the design,
construction and contract administration for road work, infrastructure work and structural work
on the Bruce Power site. He also provides structural design services for sewage, water pumping
and treatment facilities.
Richard Anderson is a Senior Engineer with BMROSS and has broad experience in water
supply and wastewater treatment. His expertise is in the design of water plants, pumping
facilities and treatment facilities. He will provide assistance in the planning of these projects and
take the responsibility for detailed design, construction and contract administration to follow
these projects to fruition.
Of the nine key personnel above, eight are shareholders in the firm. Attached as Appendix "B ",
are curriculum vitae for each of these key personnel.
From time to time, depending on the nature of the assignment, BMROSS will be required to
provide geotechnical, hydrogeological or other specialized services through the use of sub -
consultants. BMROSS has had a lengthy relationship with Atkinson, Davies Inc. of London,
Ontario. Under the leadership of Colin Atkinson, P. Eng., a Senior Geotechnical Engineer with
many decades of experience, Atkinson, Davies Inc. will provide services in investigative testing,
geotechnical, environmental and construction materials.

When hydrogeological advice is required, BMROSS would propose to retain Ian D. Wilson
Associates Limited. They are a full service hydrogeology consulting firm which has been in
continuous practice since 1974. Wilson Associates has completed over 1,200 hydrogeology-
related projects throughout Ontario for numerous government, municipal and private clientele.
Most of the over 1,200 projects completed have necessarily incorporated concepts and
methodology related to municipal hydrogeologic studies. The primary hydrogeologic staff
involved will be Geoffrey Rether, B.Sc., P.Geo., President of Ian D. Wilson Associates Limited
since 1999. He is a licenced Professional Geoscientist and has been a hydrogeologist with
Wilson Associates since 1990. With regard to municipal project experience, Wilson Associates
has recently provided hydrogeologic consulting services to the County of Grey (Transportation
and Public Safety), County of Bruce (Roads), City of Stratford, Town of Wasaga Beach,
Municipality of Strathroy - Caradoc, Township of Middlesex Centre, Municipality of Bluewater,
Township of Huron - Kinloss, Municipality of South Huron and the Township of Minden Hills,
among others. Specifically, within the Municipality of Kincardine, Wilson Associates has
recently provided hydrogeologic consulting services for the Tiverton Dent and Briar Hill
municipal wells, Huron Ridge Subdivision drainage assessment, Underwood municipal well,
Golf Links Road Reconstruction, Inverhuron Beach Erosion Issue, Armow GUDI and
Fragmentation Studies and the Brucedale Community Hall water quality issue.

1.3.2 Project Organization Diagram
Attached, as Table 2, is a project organizational diagram. This table shows, in graphical format,
the allocation of key personnel, together with a secondary contact for the classification of
services, together with identifying personnel for the six types of sub - services that might be
required in the infrastructure design and construction category.
1.3.3 Support Staff
We have identified the key personnel available to take leadership on the projects and services to
be provided to the Municipality. It is important to recognize that the support of junior and senior
engineers, technologists, construction inspectors, surveyors and clerical staff are important to the
completion of any project. BMROSS has a current total staff in excess of 50 people, all who are
dedicated to serve our municipal clients. In addition to the key personnel listed above, we would
like to briefly highlight support personnel available as follows, many of who have long histories

1.4 Project Management Approach
Project Management is necessary to ensure:
• The client's expectations are understood and achieved.
• Budgets and schedules are met.
• Changes in the Scope of Work are identified quickly and responded to.
For the type of engineering services described for this assignment Project Management is
required at two levels. The first is the coordination of the many projects, large and small,
straightforward and complex that will be underway simultaneously. The second is the more
traditional managing of tasks and resources for a single project. BMROSS has systems in place
to do both.

It is expected that most projects will be initiated through contact between Municipal staff and the
main liaison/primary contact, Bruce Potter. Bruce will be responsible for establishing the initial
scope of work and assigning the project to the appropriate key personnel.
The status of all on -going projects is monitored through a series of Project Manager meetings
held bi- weekly to share resources, and monthly to review work progress and issues, Municipality
by Municipality. (Refer to Section 2.2 re Quality Assurance /Cost Control.)
If Kincardine wishes, BMROSS is prepared to institute a system whereby spreadsheet style
status reports are prepared and reviewed with municipal staff on a regularly scheduled basis.
Manauement of Individual Proiects
Individual projects may be assigned by the Main Liaison or may come directly to the Key
Personnel or Project Manager from municipal staff.
The Project Manager is responsible for confirming the scope of work and depending on the type
and scale of the project, a schedule and budget. The Project Manager is the principal liaison with
the Municipality during the course of the project and is responsible for keeping the Main Liaison
advised of project status as noted above. Individual project quality assurance and cost control
are discussed in detail in Section 2.2.

2.0 PROJECT COST CONTROL MEASURES
2.1 Fees and Disbursements
The Request for Proposal document explains that fees for the assignment are to be on a time
basis and computed based upon hourly billing rates. Attached, as Appendix "C ", are hourly
billing rates for 2008 for the key personnel identified within this proposal and hourly rates
identified for the key staff of the sub - consultants. Also included, for reference by the
Municipality, are currently hourly billing rates for support staff.
Billing rates are reflective of the cost of labour, fringe benefits and overhead. Both the
Professional Engineers of Ontario (PEO) and the Ontario Association of Certified Engineering
Technicians and Technologists (OACETT) provide salary surveys, outlining remuneration to
engineers, technicians and technologists at various levels of experience and responsibility
throughout the Province. BMROSS feels that it is important to remunerate their employees
fairly and uses these documents as a guideline for salaries for technical staff. Billing rates can be
expected to change annually based upon the pressures of inflation and the cost to the Corporation
of the fringe benefits for their employees. Billing rates for senior staff who have reached their
maximum level of responsibility can be expected to change in a manner similar to inflationary
pressures. In addition, billing rates for junior and intermediate staff can be expected to change,
reflective of their increased experience, qualifications and the responsibilities assigned to them.
BMROSS cannot commit to billing rates in the future. We offer to review the adjusted rates
annually with municipal staff during the tenure of this appointment.
The Request for Proposal notes that, as part of the fees, reimbursable expenses will be paid by
the Municipality. These expenses would normally include vehicular mileage for travel expenses,
photographs, printing, courier charges and the reimbursement of fees for approvals, permits and
licences. BMROSS will add a mark -up of 5% to those expenses, to be applied throughout the
term of the appointment. We do not invoice for long distance telephone expenses, fax charges or
meal expenses.
2.2 Quality Assurance Cost Control Measures
(a) Cost Control
In our experience, project cost control is achieved by paying attention to the following:
Using Project Managers whose skills and experience match the scope of work and who
have ongoing knowledge of related projects (past, present and future).
Managing the flow of the project with regular reviews of costs vs. budget and the project
schedule.
Recognizing and managing changes in scope.

Regular communication between senior BMROSS and municipal staff.
For all major projects, we will apply an internal monitoring protocol for both budget and
schedule. The Project Manager works with the BMROSS Project and Quality Co- ordinator to
create bi- weekly reviews of project status. We apply a Green/Amber /Red approach to highlight
the flow of the project relative to costs and timing milestones. Copies of sample reviews that we
have used internally are attached for information purposes.
For most projects, BMROSS will invoice on a regular monthly basis. For major projects,
invoices can be accompanied with a budget update that relates invoiced costs to major tasks.
The format of this report can be developed with the Municipality, so that the information
provided is appropriate to your needs.
(b) Quality Assurance
Quality Assurance is an important component of business operations at BMROSS. All Project
Managers have a regularly updated copy of the Company Quality Manual which contains
detailed protocols and tools (e.g. checklists). The Table of Contents for the Quality Manual is
included for reference purposes in Appendix "D ".
The firm has a full -time Project and Quality Co- ordinator that works with the Project Managers
to manage project scope, budgets and schedules. The Co- ordinator is a member of the firm's
Quality Management Committee (QMC), a group of senior Managers responsible for identifying
and addressing quality issues, setting goals and monitoring progress and developing a culture of
continuous improvement. The QMC meets monthly.

3.0 LOCAL KNOWLEDGE
BMROSS has a long history of working for the Municipality of Kincardine and its predecessor
Municipalities. BMROSS maintains a data base of all projects since its inception in 1951. A total of
849 projects are on file in the Municipality of Kincardine and its predecessors. Our history of working
in Kincardine started in Kincardine Township in 1960 where we designed and assisted the
Municipality with the construction of their works garage. It is noted that the low tender for this facility
was only $18,478.45, certainly something that looks reasonable in today's financial climate. We note
that the Bruce Township garage was built in 1961 by the same Contractor at a price approximately
$1,000.00 higher than that amount. We also note that we have done bridge work in the former
Kincardine and Bruce Townships since 1961 and 1963 respectively. Our first major project within
Kincardine was an MOE sanitary sewer project which commenced construction in 1967 and serviced a
section of the northerly portion of the Town. Our first major project in Tiverton was the water supply
system which was completed in 1973.
In the mid - seventies, the Town of Kincardine grew at an astronomical pace in response to the
development of the nuclear facility. BMROSS assisted the Municipality in planning and responding to
this growth, including expansions to sewage and water treatment facilities, pumping stations and trunk
infrastructure. At that time, there was considerable subdivision development and BMROSS assisted
the Municipality in reviewing those development proposals and providing financing advice for
agreements to assist the Municipality to ensure that those developments and the associated municipally
owned infrastructure was completed. The Tiverton water system was completed in the early seventies
and the sewer system followed in the early eighties. We note that most of the senior staff associated
with the expansion of Kincardine and Tiverton during those times are still with BMROSS in the
persons of Steve Burns and Bruce Potter.
BMROSS has been responsible for assisting the Municipalities with major projects, including the
following:
Tiverton — Municipal water system, water tower, well upgrades, municipal sewage collection
system and pumping stations, road reconstruction and storm sewers.
Kincardine and Bruce Townships — works garages, roads, bridges and culverts..
Kincardine — upgrades to sewage treatment facility, design and construction of sewage
pumping stations, collection sewers, design and construction of the water treatment plant and
several alterations /additions to the water tower, distribution watermains, road reconstructions
and storm sewers, bridges and culverts, harbour expansion, Queen Street construction and
beautification, modifications to the Davidson Centre and other municipal buildings.
BMROSS has continued to provide engineering services to the Municipality and Bruce Potter, who
would be the main liaison/primary contact for this assignment, has historically fulfilled that role since
the late seventies.
BMROSS has been involved in all major infrastructure programs within the Municipality for more
than 30 years. We have the Municipality's infrastructure history in our files and have the staff with
local knowledge and history available to assist the Municipality of Kincardine with their infrastructure
needs.

4.0 RELATED EXPERIENCE AND CORPORATE EXPERIENCE
4.1 Related Experience
BMROSS has a wide range of experience in the type of projects identified in the Request for
Proposal. Attached as Table 2, are charts outlining a sampling of that experience, for each of the
disciplines identified. BMROSS can provide documentation of additional experience for other
types of projects as may be required by the Municipality.
4.2 Corporate Experience
BMROSS has been providing engineering services to municipalities in southwestern Ontario
since 1951. For 57 years, the firm has focused on assisting smaller municipalities with their
infrastructure engineering and planning needs, as well as providing general support when dealing
with senior governments, developers and ratepayers. We have provided services in all of the
disciplines identified in the Request for Proposal for in excess of 40 years.
We maintain offices in Goderich and Mount Forest, Ontario.
The firm has completed over 7,000 projects, including almost 1,000 bridges and culverts. Ninety
percent of our workload in any year is for municipalities. Project types typically include
transportation (roads, bridges and culverts), environmental (water, wastewater and solid wastes,
water resources (flooding assessments, stormwater management and dams), marine works
(harbours and shoreline protection).

4.3 Declaration of Conflict of Interest and Legal Status
As you are aware, BMROSS has a policy of not working for Developers in the Kincardine area,
as our work with the Municipality creates a perception of a conflict of interest. We have worked,
from time to time, for private individuals. Examples include providing services to design a
beam, review a drainage issue or consider slope rehabilitation. At the present time, we are not
aware of any pending litigation between ourselves and the Municipality.
Attached, as Appendix "F" is an affidavit to that effect.
4.4 Insurance
The Request for Proposal requires confirmation of insurance. BMROSS has in place policies in
the amount of $2,000,000 for Professional Liability Insurance, $5,000,000 for Commercial
General Liability Insurance and $5,000,000 for Non -Owned Automobile Insurance.

The following are some of the special abilities that BMROSS has available for its municipal
clients.
A Client Based Approach
BMROSS has worked on thousands of projects since 1951. At any time, there are between 500
and 600 active projects, most of which are for municipal clients.
As engineers and planners, our chosen approach is to be "client based" rather than "project
based ". Our goal is always to have a "big picture" view of the communities we work in. Our
approach is to be fair, honest and collaborative and to encourage continuity of staff, keep good
records and provide opinions and advice based on the long -term needs of the community.
Recognizing that there are many types, sizes and complexities of projects proceeding
simultaneously in every community and that there will be many individuals involved, we have
instituted regular (monthly) Project Manager meetings at which projects are reviewed
community by community. We have also instituted internal status reporting by client. All
projects, large and small, are listed by Project Manager and status and information needs
identified.
In our opinion, our Client Based approach, emphasizes continuity of personnel but also allows us
to respond to specific technical needs by providing focused experience.
A Focus on Smaller Communities
Although we have worked on projects throughout Ontario and our clients have included Federal
and Provincial government ministries and departments as well as large multi - national
corporations (e.g. Volvo, Nabisco Brands, Sifto) we have chosen to focus our business on
working for smaller communities in southwestern Ontario. We work in the communities in
which we live and raise our families. We know that solutions to problems must have an
appropriate scale and be financially feasible. We constantly look for opportunities to share our

TERMS OF REFERENCE
A. TECHNICAL /MANAGERIAL SECTION
1. INTRODUCTION
1.1 General
The Municipality of Kincardine is located on the shores of Lake Huron in the County of Bruce.
It has a population of 12,000 and covers an area of approximately 580 square kilometers.
The municipality, located at the mouth of the Penetangore River, was created in 1999 by the
amalgamation of the Town of Kincardine, the Township of Kincardine, and the Township of
Bruce. It was formerly known as Penetangore.
In addition to the town centre, Kincardine contains the following small communities:
• Armow
• Bervie
• Glammis
• lnverhuron
• Millarton
• North Bruce
• Tiverton
• Underwood
The Municipal government is overseen by a Council of nine. The Council consists of a Mayor
elected at large, two Councillors elected from Ward 1 (the former Town of Kincardine), one for
Ward 2 (the former Township of Kincardine), one from Ward 3 (the former Township of
Bruce), and three elected at large.
The economy of Kincardine is dominated by the Bruce Nuclear Power Development which is
currently operated by Bruce Power, a private company under lease from Ontario Power
Generation. There is also a thriving agricultural and tourist industry, emphasizing sandy
beaches, beautiful sunsets and Scottish cultural tradition.
The Municipality is advertising a request for proposals for the provision of engineering
services to the Municipality. The services to be provided encompass a wide range of
engineering activities related to the day to day function of the Municipality and generally
include subdivision administration; engineering design; contract administration and resident
supervision of Municipal Infrastructure projects related to transportation, wastewater collection
and treatment, water supply and distribution; and Municipal Infrastructure studies related to
the development of Official Plans and service rate studies.

The successful Consultant will be appointed by By -law as the Municipality's "Engineer of
Record" for a five (5) year term, subject to annual reviews.

1.3 Declaration of Conflict of Interest and legal Status
The Municipality considers that any firm which provides consulting services during their
retainer with the Municipality to Property Owners within the Municipality or have pending legal
action against the Municipality would have a conflict of interest in working for the Municipality.
All RFP's must include an affidavit confirming that the firms which are included in the proposal
do not have any such conflict of interest or have pending legal action with the Municipality.
1.4 Insurance
Consultants are requested to list their insurance policies in force and limits of coverage (i.e.
Professional Liability Insurance, Commercial General Liability and Automobile Insurance and
any other applicable insurance).
The successful Consultant must, at the time of Appointment, provide copies of insurance in
the amount of $2,000,000 for Professional Liability Insurance, $5,000,000 Commercial
General Liability Insurance and $5,000,000 Automobile Insurance.
1.5 Interviews
Consultants responding to the RFP may be required to attend an interview with the
Municipality. The interview will be undertaken by members of Council, Committee Members
and staff.
The interview process will entail a twenty (20) minute presentation by each Consultant
followed by a thirty (30) minute question and answer period. The Firm's appointed Principal

must be present at the interview. The times for each interview will be provided after the
submission of proposals.
1.6 Services Agreement
Final acceptance of the successful Consultant's proposal by the Municipality shall be
conditional on the execution of an Agreement between the two parties. The Agreement for
professional services is envisaged to generally follow the format of the Professional Engineers
Ontario "Sample Agreement between Client and Engineer for Professional Engineering
Services" However, the Municipality in discussions with the selected consultant may change,
delete or incorporate additional clauses as deemed appropriate to the Municipality.
This proposal, any addenda and the Consultant's submission shall be part of the Agreement
and be contained in an Appendix to the Agreement.

As previously noted, the Municipality shall not be liable for any costs or actions whatsoever
associated with the preparation of and submission of a proposal by a Consultant in response
to this RFP.

2. SCOPE OF ENGINEERING SERVICES TO BE PROVIDED
The Consultant is expected to provide engineering advice and design services to the
Municipality in five (5) general areas as follows:
2.1 Subdivision and Site Plan Administration
The Consultant will assist the Municipality in negotiations for the approval of Residential
Subdivisions and Site Plans within the Municipality. The services to be provided generally
include assistance to the staff and municipal solicitor in the development of Subdivision
Agreements, Development Agreements, Service Finance Agreements and Site Plan
Agreements. The Consultant will also review and approve, on behalf of the municipality,
subdivision and site plan drawings and specifications. The Consultant will assist with
inspections on behalf of the Municipality as required.
2.2 Municipal Infrastructure Master Plans and Rates Studies
The Consultant will assist municipal staff in preparation of annual budgets as well as long term
capital forecasts. In addition, the Consultant will assist the Municipality in long term
infrastructure planning specific to the development or amendments to the Municipality's
Official Plan, Development Charge Background Studies, and preparation of Water and Sewer
Rate Studies this would include attendance at public meetings and hearings. Finally, the
Consultant will also assist the Municipality in PSAB compliance inventory development and
maintenance.
2.3 Municipal Infrastructure Design and Construction
2.3.1 Roads, Bridges and Culverts
The Consultant will assist the municipality in the long term management of municipal roads,
bridges and culverts. This will include development of Master Plans and long term capital
forecasts for the management of municipal infrastructure. The Consultant will also be
responsible for the design, construction and contract administration of roads, bridges and
culverts.
2.3.2 Water Supply and Distribution
The Consultant will be responsible for the design, construction and contract administration of
municipal projects on an annual basis related specifically to the municipally owned and
operated water supply and distribution systems. The Consultant will also assist the
Municipality in the preparation of responses to inspection reports, interpretation of the Ontario
Drinking Water Regulations and preparation of Operational Plans specific to the municipal
systems.
2.3.3 Wastewater Collection and Treatment
The Consultant will be responsible for the design, construction and contract administration of

municipal infrastructure projects specifically related to wastewater collection and treatment.
The successful Consultant will be expected to co- ordinate all design services related to
roads, bridges and culverts; water supply and distribution; wastewater collection and
treatment including all aspects of design, construction and contract administration as
well as all requirements specific to the environmental assessment processes specific
to each project and will be responsible for obtaining all necessary approvals on behalf
of the municipality on a project by project basis.
2.3.4 Water Resources and Marine Engineering
The Municipality requires engineering services specific to water resource projects including
shorelines, river and marine engineering projects including capital projects related to the
Municipality's harbour facilities. The services provided may also include water quality services
related to Lakeshore water quality investigations and studies.
2.4 Geotechnical / Hydrogeological Services
The Consultant is required to provide geotechnical /hydrogeological services related to the
design and construction of municipal infrastructure, groundwater studies related to municipal
water supply and Source Water Protection planning.
2.5 General Services
In addition to providing engineering servicing specific to subdivision administration, municipal
infrastructure design, water resources and geotechnical /hydrogeological projects, the following
general services are to be provided by the Consultant:
• Attendance at council /committee meetings as required,
• Assist the Municipality in the preparation or amendment of By -laws,
• Assist Building Department with Building Code interpretation,
• Assist municipal solicitor in matters pertaining to involvement of Provincial or
Federal Regulations, subdivision agreement and /or service finance agreement
preparation and matters of contractual law specific to municipal projects,
• Assist municipality in preparation of Provincial /Federal grant applications,
• Assist municipality in negotiations and preparation of agreements with Upper
Tier governments and /or neighbouring municipalities.
3. PERSONNEL, ORGANIZATIONAL STRUCTURE AND PROJECT
MANAGEMENT
3.1 Key Personnel
All personnel shall be thoroughly experienced and qualified in the disciplines required to
provide the level of service required by the Municipality.

A listing of the nominated key personnel is to be provided, noting the following information in
tabular form: name, title, role in the appointment, education, professional registration(s), years
of experience, brief outline of undertakings relevant to the Terms of Reference. A separate
one paragraph summary for each nominated key individual is to accompany the listing with a
half page summary of the assigned Principal staff member who will be the main liaison with
the Municipality. The qualifications of the individual assigned as the main liaison to the
Municipality is of particular importance to the Municipality.
If a sub consultant(s) is to be engaged, the key individual(s) shall also be indicated in the
above listing and flagged as a sub consultant along with a one paragraph summary. Also, the
corporate name and address of the sub consultant shall be provided along with a description
of the role of the sub consultant.
Resumes for the above nominated Consulting team members are to be provided, and should
include a listing of recent technical presentations at conferences and any recent published
papers, memberships in Associations, positions held in the Associations and notation made of
any awards received. Resumes are to be included in an identified Appendix.
There shall be no change in the nominated personnel or sub consultants without the written
approval of the Municipality.
3.2 Project Organizational Diagram
An Organizational Diagram noting the nominated key personnel and their respective roles is to
be prepared. Sub consultant(s) key staff and related roles are also to be indicated and flagged
as a sub consultant team member.
4. LOCAL KNOWLEDGE
A brief summary (maximum one page) regarding the Consultant's local knowledge pertaining
to the Municipality of Kincardine and environs is to be provided in the Consultant's proposal.
5. RELATED AND CORPORATE EXPERIENCE
5.1 Related Experience
A listing of recent experience directly related to the provision of Municipal Engineering
Services is to be provided.
In reporting the "Experience Directly Related to this Appointment ", a tabular submission by
Heading is requested noting:
• Client
• Brief Description of services provided
• Principal and other key personnel.
An introductory statement or outline is to accompany the above Table.
Profiles of the related assignments noted in the above tabular submission and profiles of other
similar assignments undertaken by the Consultant are to be included in the proposal.

5.2 Corporate or Company Experience
The Consultant shall outline the overall Corporate experience including years in business,
number of years experience in the municipal, engineering and environmental fields,
memberships and corporate mission statement and/or environmental mission statement and
/or sustainability mission statement.
A Corporate brochure is to be included as part of the proposal Appendix material. A brochure
for any sub consultant engaged is to also be included. Alternatively, or in addition to providing
corporate brochures, the Consultant may reference their corporate web site(s).
6. REFERENCES
A listing of three (3) references that can be contacted are to be noted. The following
information for each of the references is requested:

7. COMMENTS
The Consultant is invited to offer a commentary on any special attributes, unique aspects or
other noteworthy aspects of their proposal. The response should be limited to two to three
pages.
B. FINANCIAL /QUALITY CONTROL SECTION
8. FEES AND DISBURSEMENTS
8.1 Fees
Fees for services (including those for any sub consultants) rendered under the Project are to
be on a time basis. The fees are to be computed on hourly billing rates.
8.2 Reimbursable Expenses
8.2.1 Standard Expenses
Standard Expenses are in addition to the above fees.
Standard reimbursable expenses include but are not limited to: vehicular mileage, traveling
expenses, long distance telephone and fax charges, printing and reproductions, progress
photographs, courier charges, all fees for required approvals, permits, licenses and alike, etc.
The Consultant is required to specify the company's policy on markup (as a percentage) that

will be applied to any expenses or disbursements incurred through their appointment with the
Municipality.
8.3 Financial Proposal
Hourly Billing Rates are to be provided for all Key Personnel listed in Sections 3.1 and
3.2.
8.4 Quality Assurance /Cost Control Measures
The Consultant is requested to outline their proposed method to monitor and control
Consultant costs (fees) and quality assurance.
C. PROPOSAL EVALUATION PROCESS AND CRITERIA
9.1 General
The proposal submissions will be reviewed and evaluated by a panel of Municipality
representatives.
At the discretion of the Municipality, the Municipality may request clarification of a Consultant's
proposal at any time during the evaluation process. Seeking clarification of any aspect(s) of
the Consultant's submission during the evaluation process shall not be construed in any way
as acceptance of the Consultant's proposal.
9.2 Criteria: Technical /Managerial /Financial Weighting
Each proposal will be evaluated based on a maximum weighted score of 200 points, based on
the following criteria:

9.3 Highest Ranked Proposal
The highest ranked proposal will be the result of the highest score (highest ranked) and will
be considered the "best ranked proposal ".
The Municipality reserves the right, at its own discretion, to accept or reject any proposal. The
Consultant understands that fundamental to this competition is the selection of a proposal that
in the sole judgment of the Municipality, most effectively meets the requirements of the
Municipality.

10.1 Submission Format
The reply to this RFP is to consist of one (1) sealed envelope and is to be in a standardized
format as noted hereinafter.
10.2 Addenda to the RFP
Any Addenda received by the Consultant are to be enclosed with their submission. In order
to receive a response, all requests for clarification(s) must be received by the Project
Manager by 4:00 p.m. on November 10, 2008; as previously noted no response will be
provided to inquiries received after this date and time.
10.3 Proposal Format (including the Firm's Name and titled "Engineering Services,
Request for Proposal, Municipality of Kincardine ")
The Proposal submission is to be bound in a 3 ring binder or cerlox binding and structured

Involvement with more than 300 bridge, bridge repair or culvert projects. The work has

• Some of the larger bridges that Mr. Ross has designed have been over the Maitland, Saugeen,
Ausable and Nith Rivers. These include bridges commissioned by the Counties of Huron,
Lambton and Bruce and the Regional Municipality of Waterloo.
Structures designed for the Ontario Ministry of Transportation include rigid frame bridges on
Highways #4 and #6, a seven lane underpass for the Highway 407 project and five bridge
widenings on Highway 401. As well, Mr. Ross was the lead designer for 6 structures on
King's Hwy. 11 where bridges were converted from conventional style to semi - integral
abutments. Structural assistance to architects for the design of custom homes. Also,
structural inspections and analyses of existing buildings. Professional assistance for Building
Officials.
• Inspection and reporting on older bridges and detailed design of rehabilitations. Includes
inspections to the OSIM format plus bridge management plans and budgets.
Structural design of sewage treatment plants, inlet works, pumping stations, and covered
water reservoirs involving detailed design in reinforced concrete, structural steel and
structural aluminum.
Structural design of building renovations including community centres and structural
restoration of heritage commercial buildings. Design and construction supervision of water
control structures including the Neustadt floodwall, Walkerton Dykes, restoration to the
Hanover Dam over the Saugeen River and restoration to the Listowel Dam over the Maitland
River.
• Quality Verification Engineer for contractors working on structural projects for the Ontario

Municipal Water Supplies:
Towns of Wasaga Beach, Strathroy, Ridgetown,
Midland, Penetanguishene, Brighton. Villages of
Norwood, Burk's Falls. A large number of privately -
funded communal water supply systems in a wide
variety of urban and rural municipalities.
Since its incorporation in 1974, Ian D.
Wilson Associates Limited has
completed over 1200 hydrogeologic

Waste management monitoring studies have been
carried out in over 30 municipalities throughout
