HomeMy WebLinkAboutKIN 86 4780 Develop Agreement . . THE CORPORATION OF THE TOWN OF KINCARDINE BY-LAW 4780 BEING A BY-LAW TO ENTER INTO A DEVELOPMENT AGREEMENT WITH DEDI-CARE GROUP INC. WHEREAS Section 50(b) of The Planning Act, 1983, authorizes a council to enter into an agreement with the developer in regard to the proposed development of a site; AND WHEREAS Dedi-Care Group Inc. is proposing to convert and construct an addition to the existing dwelling located on Part of Lots 4 and 5, north side of Durham Street, plan 61 being Part 2 of RP 3R-I018; AND WHEREAS The corporation of the Town of Kincardine deems it desirable to enter into an agreement with the developers; NOW THEREFORE, the council of The Corporation of the Town of Kincardine ENACTS as follows: 1. That the mayor and clerk are hereby authorized, on behalf of The corporation of the Town of Kincardine, to sign the development agreement with Dedi-Care Group Inc. for a 45 bed senior citizens retirement lodge on Part of Lots 4 and 5, North side of Durham Street, Plan 61 being more particularly described as Part 2 of Reference plan 3R-I018. BET WEE N: DANIEL & MARIE SHOWALTER Hereinafter called the "OWNER" OF THE FIRST PART -and- DEDI-CARE GROUP INC. Hereinafter called the "DEVELOPER" OF THE SECOND PART -and- THE CORPORATION KINCARDINE OF THE TOWN OF Hereinafter called the "TOWN" OF THE THIRD PART WHEREAS the described in agreement of said lands; Owner is the owner in fee simple of the lands Schedule "A" attached hereto and has entered into an purchase and sale with the Developer for the sale of AND WHEREAS the Developer has applied to the Town for a zoning by-law amendment to By-law 4350, as amended, to permit the building of a senior citizens retirement lodge development on the lands outlined in blue in Schedule "B" attached to this agreement; AND WHEREAS it is a condition precedent to the Town approving the zoning by-law amendment that the Owner and the Developer enter ðl into this Agreement. A~~ NOW THEREFORE THIS AGREEMENT WITNESSETH that in consideration of fl' ~ ~ other good and valuable consideration and the sum of ONE ~OLLAR ($1.00) of lawful money of Canada, now paid by each of the , parties hereto, (the receipt whereof is hereby acknowledged) and e further consideration of the Town ultimately passing a zoning ~ . by-law a~endment, the parties hereto hereby covenant, promise and agree with each other as follows: 1. TAXES No building permits shall be issued until the Owner submits a certificate that all taxes on the said lands have ben paid. 2. RESERVES AND EASEMENTS . The Owner agrees to convey to the Town such easements as may, in the opinion of the. town council whose decision in this regard shall be final,' be required by the Town for the development of the said lands as determined by the town engineer. If required, deed and conveyances shall be delivered to the town clerk, fully executed and in registerable form prior ;;F0 issuance of any building permits by the Town. FINANCIAL CONTRIBUTIONS (a) The Owner covenants and agrees to pay to the Town by way of impost fee and park land dedication the sum of $22,100.00 The payment of such sum shall be in accordance with paragraph 3(b) below. For convenience, the details of calculation of the above sum are set out in Schedule "CO attached hereto. (b) The Owner shall pay to the Town the amount set out in paragraph 3(a) above as follows: (i) The sum of $2,210.00 on application of a building permit. (ii) The unpaid balance of $19,890.00 prior to any person occupying the retirement lodge. (iii) Upon payment in accordance with paragraphs 3(b) (i) and 3(b) (ii) being made, the Town shall absolve the Owner of any further payments or land dedications respecting parks or pUblic space. 4. The Owner covenants and agrees that he will construct a :senior citizens retirement lodge with forty-five (45) beds to be located on a portion of the lands outlined in blue in Schedule "B" and that such construction shall comply in all respects with the by-laws of the Town. 5. GRADING The Owner shall provide a grading plan showing the grades in the lot as a whole and the parking lot and have it approved by the town engineer. No grading shall be done on the lands without the approval of the town engineer and where the Owner has applied to the town engineer and has received his permission to carry out grading operations upon the lands, such grading operations shall be performed by the Owner. No one shall be allowed occupancy of the building until the Owner has obtained a certificate from the Town Engineer providing final approval of grading for the project. 6. P.U.C. AGREEMENT The Town's obligations pursuant to this Agreement are conditional upon the Owner entering an Agreement within 245 days of the date of this Agreement, with the Public Utilities Commission of the Town of Kincardine. The Owner covenants and agrees tp enter into an agreement with the Public Utilities Commission of the Town to provide for the installation of a hydro distribution system and water supply services to the lands described in Schedule "A" attached. 7. TOWN INSPECTION (a) The Town and its agents, servants and officers are hereby granted a general easement over the lands for the purpose of examining, inspecting, maintaining (at the option of the Town), extending or enlarging pUblic services. This provision does not relieve the Owner from all or any of its obligations under this Agreement or Ðtherwise and in no way obligates the Town. (b) Without limiting any of the foregoing, the Owner covenants and agrees to pay to the Town all structural engineering fees for the services of a structural eng~neer, if required, for building inspection purposes. INSURANCE (a) The Owner shall insure against all damages or claims for damage with an insurance company satisfactory to the town's clerk. Such policy or policies shall be issued in the joint names of the Owner and the Town and the form and content shall be sUbject to the approval of the Town. The policy or policies shall remain in the custody of the Town during the life of this Agreement. The minimum limits of such policy or policies shall be $4,000,000.00 all inclusive, but the Town shall have the sole right to require higher policy limits. The policy or policies shall have no exclusion for blasting and must contain a "completed operations" clause. The policy or pOlicies shall remain in effect for the life of this Agreement. (b) The Owner shall provide, to the satisfaction of the Town, from time to time as the town engineer may require proof that all premiums on such policy or pOlicies of insurance have been paid and that the insurance is in full force and effect and also that the Owner has complied with all provisions of The Workers' Compensation Act and The Construction Safety Act. The issuance of such a pOlicy of insurance shall not be construed as relieving the Owner from responsibility for other or larger claims, if any, for which he may be held responsible. 9. EXISTING PLANT The Owner shall repair any damage caused as a result of the development to any existing road, road allowance, curb and gutter, sidewalks, boulevard or existing structure or plant thereon, and shall pay for any costs involved in relocation of eXisting services such as hydrants and telephone poles which may be necessary by reason of the development, all works to be to specifications determined by the town engineer. 10. REGISTRATION OF THE AGREEMENT The Owner hereby understands and acknowledges that this Agreement will be registered against the title to the lands described in Schedule "A" hereto. Such registration will be at the instance of the Town and the cost of registration incurred by the Town shall be paid by the Owner to the Town immediately upon demand being made thereof. . 11. AUTHORITY Notwithstanding anything hereinbefore set out, it is mutually understood and agreed by the Owner with the Town that this Agreement and all the terms and conditions hereof, insofar as any contractual or any other liability on the part of the said Town as herein set forth shall be conditional upon the Town being legally permitted to enter into the arrangements, financially or otherwise, as herein set forth, and if at any time during the . currency of this project it is found by any court of competent jurisdiction, or the Ontario Municipal Board, of the Ministry of Municipal Affairs, or any 'other government department that this Agreement and/or all its terms are void insofar as the Town is empowered to enter into this Agreement, then no obligation, liability or duty of any nature or kind whatsoever, whether in law or equity, shall be imposed upon the said Town to carry out any of the provisions of th~s ment nor shall the Town be in any way liable for any dam, ages osse,s incurred or suffered in any way as a result hereof. 'Ibis paragraph shall also apply in the ~J~-__-"~~~f~' ..... ~ ,,' " . ~cry ¡/f.R Page 5 of 14 - 4 - The Owner and the Town acknowledge that the supply of any Town services to the lands which may be undertaken or on behalf of the Town must first receive the approval, with respect to certain of the Town services herein referred to, of the Ministry of the Environment. THEREFORE, it is understood and agreed by the Owner that insofar as any contractual liability or any other liability on the part of the said Town as herein set forth is conditional upon the said Town receiving the approval and authorization of the aforementioned government bodies or any of them, no obligation, liability or duty of any nature or kind whatsoever, whether in law or in equity shall be imposed on the said Town to carry out its obligations under this Agreement, failing receipt of any such approval. In the event, the Town may cancel it and return to the Owner and money it holds for or on behalf of the Owner after deducting therefrom all moneys, costs, payments and expenses spent, paid or incurred by the Town in carrying out this agreement or providing Town services to the Owner's lands. 12. INDEMNIFICATION OF MUNICIPALITY The Owner, on behalf of itself, its successors and assigns in title, shall indemnify the Town against all actions, suits, causes of action, claims and demands whatsoever which may arise either directly or indirectly by reason of the Owner undertaking the construction of this development. 13. CONSTRUCTION AND OCCUPATION (a) The Owner and Town agree that the construction and occupation of this development shall be completed within three years from the date of execution of this Agreement. Should the construction and occupation of this development not be completed within three years from the date of execution of this Agreement then the Owner consents to an application which may be made by the Town to revert to the zoning which was in effect on the date of execution of this Agreement. The Owner further agrees not to ~ object to any rezoning application made in accordance with the 1D ~rovisions of this Agreement. (Ijf ~b) See Page 4(a) ~~ 14. SITE PLAN CONTROL ~_~ The,Owner covenants and agrees to enter into a site plan r control agreement with the Town under Section 40 of the Planning Act, SO 1983, Chapter 1 prior to the application for a building permit for the Town. . 15. GENERAL (a) It is declared and agreed that this Agreement and the covenants, provisos and conditions herein contained shall enure to the benefit of and be binding upon the respective heirs, executors, administrators, successors and assigns of the property of the parties hereto. (b) The word "Owner" and the words "he" or "his" were used in this Agreement, and in addition to its accepted meaning, shall mean and include an individual, an associate, a partnership or an incorporated company. Wherever the singular is used herein, it shall be co~st as including the plural, and wherever the masculine is herein it shall be construed as includinç feminine. // ~~ " . . Page 6 of 14 - 4 (a) - 13. (b) The Owner understands and agrees that the property is designated under the Ontario Heritage Act, R.S.O. 1980 Chapter 337. The Owner further agrees that any construction will be in accordance therewith and that any deviation from the preliminary plans, specifications and drawings attached hereto as schedules nD(i), (ii) and (iii)" without the prior consent of the Town will affect the reason for the designation unless the Owner applies to the Town and receives consent in writing to make such alteration. ~~b~IJ~4 ~ - Page 7 of 14 - 5 - . (c) In particular, it is agreed by all parties that the word "Owner", as used in this Agreement, shall include the party of the second part which Corporation expressly agrees to perform and be bound by each and all of the clauses contained in this Agreement in the event that it shall become the owner of the subject portion of the lands described in Schedule "A" to this Agreement. (d) It is further expressly understood and agreed by all parties to this Agreement that any continued obligation or agreement of the "Town" pursuant to this Agreement, is conditional upon the Town being previously put in possession of an Agreement executed by any sub&equent owner of the subject lands, in a form acceptable to the Town'& solicitors, whereby any such subsequent owner expressly agrees to fully comply with, and be bound by, all of the provisions of this Agreement, and upon the Town being satisfied of purchaser's ability to satisfy the terms of the Agreement and so signifying in writing. This clause shall not apply in the event that the developer becomes the owner of the subject portion of the lands described in Schedule "A" of the Agreement. (e) Compliance with law and standard practice The Owner shall perform its obligations hereunder in compliance with any and all applicable federal, provincial and local laws, rules and regulations in accordance with sound engineering and safety practices, and in compliance with any and all reasonable rules of the Town relative to the premises. (f) Applicable Law This Agreement and thereof shall be interpreted Ontario. the Construction and enforceability under the laws of the Province of (g) No Waiver The failure of any part to insist upon the strict performance of the terms and conditions hereof shall not constitute or be construed as a waiver or relinquishment of either parties' rights to thereafter enforce the same in accordance with the Agreement in the event of a continuing or subsequent default on the part of any party. (h) Severability It is mutually agreed that, in the event that any clause or provision of this Agreement or any part thereof shall be declared invalid or void or unenforceable by any Court having jurisdiction such invalidity shall not effect the validity or enforceability of the remaining portions of this Agreement unless the result would be manifestly inequitable or unconscionable. (i) Ass ignment . This Agreement is not assignable without the written permission of the other pa~ty.
