THE CORPORATION OF THE MUNICIPALITY OF KINCARDINE
BY-LAW
NO. 2009 -107
BEING A BY-LAW TO AUTHORIZE THE PURCHASE OF PROPERTY AND TO
AUTHORIZE AGREEMENTS OF PURCHASE AND SALE
(Parts 1-4, RP 3R 8927, Municipality of Kincardine, [geographic Town of
Kincardine] County of Bruce)
WHEREAS pursuant to the Municipal Act, 2001, S.D. 2001, c.25 as amended,
Section 8 (1) and 9 provide that the powers of a municipality under this or any
other Act shall be interpreted broadly so as to confer broad authority on the
municipality to enable the municipality to govern its affairs as it considers
appropriate and to enhance the municipality's ability to respond to municipal
issues and a municipality has the capacity, rights, powers and privileges of a
natural person for the purpose of exercising its authority under this or any other
Act;
AND WHEREAS the Council of The Corporation of the Municipality of Kincardine,
on March 21, 2007 passed By-law 2007 - 035 entering into an Interim
Development Agreement and Undertaking with 1697193 Ontario Ltd.;
AND WHEREAS the Council of The Corporation of the Municipality of Kincardine
deems it advisable to purchase land described as Parts 1-4, RP 3R 8927,
Municipality of Kincardine, (geographic Town of Kincardine), County of Bruce, and
being more particularly described on the attached Registered Plan of Survey, to
accommodate the widening of the north end of Campbell Avenue in order to
construct the required cul-de-sac;
NOW THEREFORE the Council of The Corporation of the Municipality of
Kincardine ENACTS as follows:
1. That the Mayor and CAD be authorized and directed to execute an
Agreement of Purchase and Sale and such other documents on behalf of
The Corporation of the Municipality of Kincardine, as they deem advisable,
by affixing their signatures and the Municipality of Kincardine corporate
seal, to purchase the property described as Part 1-4, RP 3R 8927,
Municipality of Kincardine (geographic Town of Kincardine), County of
Bruce, as set out in Schedule "A".
2. That the purchase price for the said property shall be two dollars ($2.00).
3. This by-law shall come into full force and effect upon its final passage.

15. PLANING Mrs This Agreement shag be effective to create an interest in the properly only if Seller complies with the
subdivision control provisions of the Planning Act by completion and Seller covenants m proceed diligentlyat his expense
to obtain any necessary consent by completion.
16. DOCUMENT PREPARATION: The Transfer/Deed shall, save for the lard Transfer Tax Affidavit, be prepared in
registrable form or the expanse of Seiler, anal any Charge/Motigoge to be ghee back by the Buyer to Seller at the
expense of the Buyer. 0 requested by Buyer, Seller covenants that theTransferMeed to be delivered on completion shall
contain the statements contemplated by Sedbn 50(22) of the Planning Act, R.S.O.1990.
17. RESIDINCTa Buyer shall be credited towards the Purchase Price with the amount if any, necessary for Buyer to pay to
the Minister of National Revenue to satisfy Buyer's liability in respect of tax payoide by Seller under the nomrosldency

19. PROPERTY ASSESSMENT: The Buyer and Seller hereby acknowledge that the Province of Ontario nos implemented
current value asaaasment and prope may be reensessed en an annual basis. The Buyer and Seller agree that no
claim will be made against the Buyer as Seller, or any Brokerage or Salesperson, br any changes in property tax as o
result of o reassessment of the property.

on the day set for completion. Money may be tendered by bank draft or cheque certified by a Chartered Bank, Trust
Company, Province of Ontario Savings Office, Credit Union or Cause Poputaire.

knowledge no bundrng on the property contains or hos ever contained insulation that contains ureaformdde. This
warranty shall survive and not merge on the completion of this transaction, and if the building is part of a multiple unit
buriding, this warranty ihal only apply to that part oaf the building which is the subjed of this transaction.
