A BYLAW TO AUTHORIZE THE SIGNING OF AN AGREEMENT
WITH VON GREY-BRUCE FOR THE PROVISION OF THE
INFLUENZA VACCINE CLINICS
AND WHEREAS pursuant to the said Municipal Act, Section 8 (1) and 9 provide
that the powers of a municipality under this or any other Act shall be interpreted
broadly so as to confer broad authority on the municipality to enable the
municipality to govern its affairs as it considers appropriate and to enhance the
municipality's ability to respond to municipal issues and has the capacity, rights,
powers and privileges of a natural person for the purpose of exercising its
authority under this or any other Act;
WHEREAS the Council for The Corporation of the Municipality of Kincardine
deems it advisable to enter into an Agreement with VON Grey-Bruce retaining
the services of VON to administer influenza vaccines to its employee, who have
agreed to participate in the program on a voluntary basis,
NOW THEREFORE the Councii for The Corporation of the Municipality of
Kincardine ENACTS as follows:
1. That The Corporation of the Municipality of Kincardine enter into an
agreement with VON Grey-Bruce_
2, That the CAO be authorized to execute, an agreement, in the attached form,
with the VON Grey-Bruce for any year during the term of this Council, by
affixing signature and corporate seal.
3. This By-law shall come into full force and effect upon its final passage_
4. This By-law may be cited as the "VON Grey-Bruce Agreement (2007),
By-law".

INFUJENZAIMMUNIZATlON AGREEMENT BETWEEN
YON CA1~ADA ONTARIO BRANCl-I, GREY-BRUCE
Herein AfterCa!led YON GREY-BRUCE)
AND
MUNICIPALITY OF KINCARDINF:
This agreement between the VON GREY -BRUCE and MUNICIPALITY OF KINCARDINR
confirms that MUNICIPALITY 01<' KINCARDINE has relained the services ofVON GREY-
RRUCE to administer jntJuen~il vaccines to its employees, employees' families and/or customers
who have agreed to participate in the program on avoluntuTY ba,;is.
This document will serve as a contract and set out the terms of reference of the agreement that has
becneswblisheci bctwccnthe two entities.
Responsibilities ofMlTNICIPALITY 01<' KINCARDINE are:
1. Display publicity materials and circLllate information about influenza and the vaccination
progr-am 10 all participants.
2. Set dilte(s),time(s) and location for clinics.
3. Arrange sign-up 8heets for participants. (Appointments are pre-booked at 5 minutes intervals
per nurse.)
4. Clinic appointmentsfsign-ups will include time allotted for nurse breaks and/ot lunch. General
considerationindude:
-4hourclinic=oncI5minutebreuk
- 5-6 hOUT clinic = one 15 minute break and/or one 30 minute meal break depending upon
actual clinic hours_
_ 8 hour clinic = two 15 minute breaks andonc 30 minute meal break
5. MUNICIPALITY OF KrnCARDINE ,,~Il notify VON GREY-BRUCE ofthc appIllximate
number of participants for each location a minimum of one week prior to the first clinic date.
Tills ,,~\l enable VON GREY -DRUCE to order an appropriate amolUlt of vaccine and supplies.

6. Provide YON GREY -BRUCE a suitable dinic area including:
Sink and running water
Desk/tabJe to set equipment on
Chairs for participants
Cot orbed for emergency purposes
Garbag~c()ntainer
Juice forparticipanls (optional)
Access to a telephone
Designated helper if there is only one Registered Nurse present
7. Distribute flu shot information sheeL screening qucstiolillaire fmm and consent fOrm to
participant~ PRIOR to clinic date. (Participants will bring these COMPLETED to the clinic.)
Note: Signed consent is required only for children 14 years and YOlUlger; tho segivingconscnt
for someone else (legal guardian or parent); or ifcollcerns aboUl consent a rise (e.g. client
assisted by atramlator).
8. Ensure participants arc prepared to remain in the flu c1inic area so that they can be as sessedby
the nurse tbwughouta 15minute\vaitingperiod.
9. Evaluate the success of the program:
Compare absenteeism between grollpS of immunized and unimnnized participants
ksessaceeptancclevclamongparticipants
Assess reaclion to thc vaccine
Solicii participant fccdback about the projed
Responsibilities orVO\l GREY-BRliCE are:
I. VON GREY -BRUCR ,vill provide MUNICIPALITY OF KINCARDINE with promotional
rnaterials for the IntluenzaVaeeination Program.
2. VON GREY -BRUCE will provide Registered Nurses and Registered Practical Nurses to
implement the elinies.
3. VON GREY-BRUCE nurses will set up and dismantle the clinics.
4. VON GREY -BRUCE will provide all materials needed for the injections. (Syringes, aleohol
swabs, needlcs, influenza vaccine and propcrsharps disposal.)
5. VON GREY -BRUCE will obtain signed medical directives for the administration of both lhe
in11uem.avaeeine and adrenaline and benedryl (to be llSed as needed in the ev entofanaphyIactic
reaction)
6. VON GREY-BRUCE nurses vrill review participant<;;' health forms, consent toms, administer
tbe vaccine and morutor participanls post-injeetion for reaction.

7. VON GREY-BRUCE nurses will document the administration of the vaccine for each
participant and note any rcactions. This documentation is the property of the VON GREY-
BRUCE and includes the health asscssment completed by the participant and the signed consent
form.
8. VOK GREY-BRUCE will maintain confidentiality of all participants' intormation.
VON GREY -BRUCE will invoicc MUNICIPALITY OF KINCARDI:NE within 60 days after the
linal clinic has been completed. Cost being: $10.50 per injection (with a minimum of 10 injection;;
per hour) plus SO.34 per km for travel where applicable. MUNICIPALI1Y OF KINCARDINE
wi)] be billod a minirnwn uf 1 0 injeotions regardless of the number of participants that receive
vaccinations. A cancellation fee of2 hours (S210.00) will be chargediflcss than 72 houTS
notification is provided to VON GREY-BRUCE. Invoices shall include information regarding tho
date, location, number of participants seen, and the billing rate. MUNICIPALITY OF
KINCARDINE v,'ill be billed for the actual time ufthe clinic. Tho standard payment terms are net
30 days.
The term of this agreement ",ill COIlllnence on thc datc of signing and terminate on the datc after the
last scheduled vaccination clinic.
Either party shan have thc right to terminate the Agreement with or without cause upon giviug ten
(10) days written nutice to the othcr party. MLl'\"]CIPALITY OF KINCARUINE will reimburse
YON GREY-BRUCE for any prepayment of clinic related materials.
Vaccine availability: Provision of all elinics is contingent upon the availability and access ibilityof
sufficient vaccine. Agreed upon clinic dates may bc subject to change or cancellation in the event
that unforeseen circumstances outside ofVON GREY"BRUCE control impacts the availability or
accessibility of vaccine.
The VON GREY -BRFCE starr~hal1 at all times servc MUNICIPALITY OF KINCARDINE as
indepondont agents, and not employees, pursuant to this agreemont and sha II not be entitled to any
employee bcnefits from MUNICIPALITY OF KINCARDINE.
Except as exprcssly provided in this Agreement, Ulis Agreement contains thc entire Agrecment
between the partios as to thc subject Illlltter, and supersedes all prior Agreements and ncgotiation~.
No amondmonts shall be effective unless it is in writing and signed by both partics.
YON GREY-BRUCE hcrcby agrees to indemnify and save MUNICIPALITY OF
KINCARDINE, its directors, officers, employees, representatives, agents, and personnel harmless
from an liabilities, claims, damages, costs and expcnses arising from the qualifications or lack there
of YON GREY -BRUCE personnel or their adherence or failure to adhcrc to the VaN standards of
eare as outlined in the VON Canada Health Care :Manual.
It is understood that all intellectual material is proprietary to VaN GREY-BRUCE and u~e ufthis
material by others is ~trictly prohibited without thc express written permission of VaN Canada.

The terms and conditions and interpretations of this Agreement slllill be governed by the laws of the
Province of Ontario.
