BEING A BY-LAW TO AUTHORIZE THE SIGNING OF
AN AGREEMENT WITH HER MAJESTY THE QUEEN IN RIGHT
OF THE PROVINCE OF ONTARIO AS REPRESENTED BY
THE MINISTRY OF COMMUNITY SAFETY AND CORRECTIONAL
SERVICES
WHEREAS Section 22(1) of the Municipal Act, 2001, S.O. 2001, c.25, as
amended, allows for municipalities to provide a system that it would otherwise
not have power to provide within the municipality, if it does so in accordance with
an agreement with the Province of Ontario under a program established and
administered by the Province of Ontario;
AND WHEREAS Her Majesty the Queen in Right of the Province of Ontario as
represented by The Ministry of Community Safety and Correctional Services has
established the RI.D.E. Grant Program to provide grants to municipai poiice
services and Ontario Provincial Police (OPP) municipal contract locations to
offset staff costs of participating in the RI.D.E. program's sobriety checks;
AND WHEREAS the Council for The Municipality of Kincardine has entered into
an Agreement with the Ministry of Community Safety and Correctional Services
to have police services provided by the OPP;
AND WHEREAS the South Bruce OPP has requested funding for the R.I.D.E.
Grant Program;
AND WHEREAS the Ministry has approved the RI.D.E. grant application;
NOW THEREFORE the Council for The Corporation of the Municipality of
Kincardine ENACTS as follows:
1. That the Corporation of the Municipality of Kincardine enter into an agreement
with Her Majesty the Queen in Right of the Province of Ontario.
2. That the Mayor and CAO be authorized to sign, on behalf of The Corporation
of the Municipality of Kincardine, the Agreement with Her Majesty the Queen
in Right of the Province of Ontario as represented by The Ministry of
Community Safety and Correctional Services attached to this by-iaw as
Schedule "A".
3. This By-law shall come into full force and effect upon its final passage.

WHEREAS the Grantee carries out a program of traffic stop sobriety checks in their jurisdiction as part
of a program to "Reduce Impaired Driving Everywhere" ( "RIDE ").
AND WHEREAS the Ministry has established the RIDE Grant Program (the "Program ") to provide
grants (the "Grant ") to assist municipal Police Services, OPP municipal contract locations and First
• Nations in offsetting their staff costs of enhancing RIDE programs of sobriety checks in their
jurisdictions;
AND WHEREAS the Grantee is a municipal Police Services Board or Municipality or First Nation in a
municipality that has established a municipal police service or a municipality whose council has entered
into an agreement under s.10 of the Police Services Act to have police services provided by the OPP;
AND WHEREAS the Grantee has, by written application, requested funding for RIDE Grant Program
(the "Project ");
AND WHEREAS the grant application for the Grant submitted by the Grantee has been approved, in
whole or part, by the Ministry and is attached as Schedule E — 2007 /2008 RIDE GRANT
APPLICATION (the "Application ");
NOW, THEREFORE, in consideration of the covenants and warranties and subject to the terms and
conditions in this Agreement, the parties agree as follows:

Article 1 Purpose of Grant
1.1 The Grantee shall utilize the Grant in accordance with the terms set out in Schedule A -
• TERMS OF REFERENCE 2007 /2008 RIDE GRANT PROGRAM and the approved
Application (the "Project ") and for no other purpose.
1.2 The Grant may be used to cover authorized costs associated with the administration of the Project.
The Grant shall not be used for purposes other than to fund paid duty or overtime staff duties
dedicated to sobriety checks.
Article 2 Acceptance
2.1 Acceptance of the Grant binds the Grantee to all of the terms in this Agreement.
Article 3 Term
3.1 The term of this Agreement commences on April 1, 2007 and expires on February 29, 2008
( "Grant Period ").
• Article 4 Grant and Payment
4.1 The Ministry agrees to pay the Grant up to a maximum of $4,700.00 for fiscal year 2007/2008,
which may be paid in one lump sum or in such instalments or otherwise as the Ministry, in its
absolute discretion, may determine.
4.2 The Ministry will pay the Grant to the Grantee by reimbursing the Grantee for expenditures at the
end of the program year and following the Ministry's receipt and approval of the final Project
reports as stipulated in Schedule A — TERMS OF REFERENCE 2007 /2008 RIDE GRANT
PROGRAM, in the form titled "2007/2008 FINAL REPORT ON RIDE GRANT
PROGRAM" included as Schedule C of this Agreement. The Project reports are records of
activities that are, in whole or part, outlined in the Application. The Grantee agrees that payment
by the Ministry for such activities is premised on the Grantee's achievement of specific
measurable results directly related to the stated project objectives. Schedule E, 2007/2008 of the
Application identifies the proposed Program activities for the current fiscal year. The Grant
funding pays for sworn officers' overtime or paid duty directed at street level drinking and driving
activities that enhance the regular RIDE Program conducted by the OPP South Bruce
• (Kincardine).

Article 5 Termination
5.1 The Grantee agrees that the award of the Grant is based upon the information supplied to the

Ministry by the Grantee, and that the Grant received from the Ministry is to be used only for the
purposes described in this Agreement. If any of the information supplied is false, if funds are not
used for approved purposes, or if the terms and conditions of this agreement are breached by the
Grantee, the Ministry may terminate this Agreement. If the Ministry terminates this Agreement,
the Grantee shall repay to the Ministry any and all amounts of the Grant paid to the Grantee.
Upon termination by the Ministry, all obligations of the Ministry, including commitment to pay
the Grant, shall cease immediately.
Article 6 Intellectual Property
6.1 The Grantee represents and warrants that it shall not, in respect of the Project administered under
this Agreement, infringe upon or violate any patent, copyright, trade mark, trade secret or any
other right of any third party, and shall not be libellous or otherwise unlawful.
Article 7 Applicable Laws
• 7.1 The Grantee represents and warrants that it shall comply with all federal, provincial and
municipal laws, regulations and orders in existence on the date of execution of this Agreement
and which come into existence during the term of this Agreement, including but not limited to the
Human Rights Code and the Municipal Freedom of Information and Protection of Privacy Act as
they pertain to the Project administered under this Agreement. The Grantee shall be responsible
for obtaining any permits or licences required for the performance of their responsibilities under
this Agreement.
Article 8 Further Grants
8.1 It is agreed and understood that the provision of the Grant in no way commits the Ministry to
provide other or additional grants now or in the future.

Article 9 Reports
9.1 The Grantee shall prepare and deliver in form and content satisfactory to the Ministry all reports
•
as the Ministry may require under this Agreement, including the reports set out in Schedule A —
TERMS OF REFERENCE 2007 /2008 RIDE GRANT PROGRAM. Any reports the Grantee
is required to submit shall be complete and accurate and shall be submitted to the Ministry within
the time frames specified by the Ministry.
9.2 The Grantee shall provide reports on financial status and relevant financial and program
evaluation based on project information as stipulated in Section 17.1 of the Agreement.
9.3 The Grantee shall report all Program results as required pursuant to Schedule D — 2007/2008
RIDE GRANT MONTHLY STATISTICS on a monthly basis. Such monthly reports shall
include "nil" reports. The Grantee shall submit in -year and end -of -year financial reporting as
required by and in accordance with the deadlines set out in Schedule A — TERMS OF
REFERENCE, Schedule B — 2007 /2008 RIDE GRANT INTERIM FINANCIAL STATUS
REPORT and Schedule C — 2007/2008 FINAL REPORT ON RIDE GRANT PROGRAM.
Article 10 Liability, Indemnification, Insurance
10.1 The Ministry shall not be liable for any injury, death or property damage to the Grantee, its
• employees, agents or contractors or for any claim by any third party against the Grantee, its
employees, agents, contractors or suppliers, with respect to this Project or the implementation of
this Agreement.
10.2 The Ministry shall not be liable for any incidental, indirect, special or consequential damages or
any loss of use, revenue or profit arising out of or in any way related to this Agreement even if the
Ministry has been advised of the possibility of such loss or damage.
10.3 The Grantee shall indemnify the Ministry and its employees and agents, against all costs, losses,
expenses or liabilities incurred as a result of a claim or proceeding related to this Agreement.
10.4 The Grantee shall maintain, at its expense, comprehensive general liability insurance of at least
Five Million Dollars ($5,000,000.00) per occurrence. At the request of the Ministry, the Grantee
shall provide satisfactory proof of such insurance.
Article 11 Assignment
• 11.1 The Grantee will not assign this Agreement, or any part of it, without the prior written approval of
the Ministry, which approval may be withheld by the Ministry in its sole discretion or given
subject to such terms and conditions as the Ministry may consider necessary.

Article 12 Freedom of Information and Protection of Privacy Legislation
12.1 Any information collected by the Ministry pursuant to this Agreement is subject to the rights and
• safeguards provided for in the Freedom of Information and Protection of Privacy Act. The
Grantee acknowledges and agrees that any information provided to the Ministry may be disclosed
pursuant to the Freedom of Information and Protection of Privacy Act.
Article 13 Publicity

13.1 The Grantee will acknowledge the Ministry and the Grant in all public communications relating
to the Project or this Agreement including, but not limited to, press releases, published reports,
radio and television programs and public meetings, using the following standard
acknowledgement: "This Project has been made possible by a grant from the Ministry of
Community Safety and Correctional Services."
13.2 The Grantee agrees to obtain prior written approval from the Ministry before using any
Government of Ontario or Ministry logo or symbol in any communications including press
releases, published reports, television programs, public or private meetings, or in any other type
of promotional material, relating to the Project or this Agreement.
• Article 14 Notices
14.1 Notices under this Agreement shall be in writing and sent by personal delivery, facsimile
transmission ( "Fax ") or by ordinary prepaid mail.
14.2 Notices by mail shall be deemed to have been received on the fourth business day after the date of
mailing.
14.3 Notices by personal delivery or by Fax shall be deemed to have been received at the time of
delivery or transmission.
14.4 In the event of an interruption in postal service, notice shall be given by personal delivery or by
Fax.
14.5 Notices to the parties shall be sent to the following addresses:

Article 15 Treasury Board Approval
15.1 This Agreement may be subject to approval by the Treasury Board Secretariat of the Government
• of Ontario.
15.2 If this Agreement extends into a fiscal year of the government of Ontario, which is subsequent to
its execution, continuation of the Agreement is conditional upon an appropriation of moneys by
the Legislature of Ontario (the "Legislature ") sufficient to satisfy payments due under the
Agreement. In the event that such monies are not available as a result of: (i) non - appropriation by
the Legislature for the province's fiscal year in which payment becomes due; and (ii) the payment
being neither charged nor chargeable to an appropriation of the Legislature for a previous
provincial fiscal year, the Ministry may terminate the Agreement upon giving notice to the
Grantee. Termination shall become effective on the date of the beginning of the first provincial
fiscal year for which funds have not been appropriated.
Article 16 Representations and Warranties
16.1 The Grantee represents and warrants that the Grantee:
(i) is a municipal Police Services Board or municipality or First Nation in a municipality that
has established a municipal Police Service or whose council has entered into an agreement
under s.10 of the Police Services Act to have police services provided by the OPP;
• (ii) shall achieve specific, measurable results according to established expectations as set out in
this Agreement and the Application;
(iii) as a condition of funding, shall have in place the governance and the administrative
structures and processes necessary to ensure prudent and effective management of the
Grant;
Article 17 Accounting and Audit
17.1 The Grantee shall ensure that proper financial and Project records and supporting documentation,
including receipts and invoices, are kept in respect of the Grant.
17.2 The Grantee shall provide reports according to reporting formats required by Schedule B
2007/2008 RIDE GRANT INTERIM FINANCIAL STATUS REPORT, Schedule C —
2007/2008 FINAL REPORT ON RIDE GRANT PROGRAM and Schedule D — 2007/2008
RIDE GRANT MONTHLY STATISTICS, in conformity with time frames specified in
Schedule A — TERMS OF REFERENCE 2007 /2008 RIDE GRANT PROGRAM.
• 17.3 The Ministry has the right to require the Grantee, at the Grantee's cost, to provide independent
verification by independent professionals of information reported or provided by the Grantee with
respect to and including, but not limited to, all information and reports about the Program, all
statistical information, all information supporting the Grant funding requests, and representations
and warranties provided under section 16 above.
17.4 The Grantee shall retain and maintain all materials and records associated with this Agreement for
a period of seven (7) years following the termination or expiry of this Agreement.

17.5 The Ministry may, upon twenty -four (24) hours notice and during normal business hours, review
and take copies of all records of the Grantee referred to in Section 17.1 during the term of this
• Agreement and within seven (7) years of its termination or expiry. The Grantee shall comply
with the provisions outlined in Article 5 in the event of termination of this Agreement.
Article 18 Waiver of Terms
18.1 A waiver of any failure to comply with any term of this Agreement must be in writing and signed
by the aggrieved party. Each waiver must refer to specific failure to comply and shall not have
the effect of waiving any subsequent failures to comply.
Article 19 Relationship of the Parties
19.1 Nothing in this Agreement shall be read or construed as conferring upon the Grantee, its officers,
employees, agents or contractors, the status of officer, employee or agent of, or partner or joint
venturer with the Ministry.
Article 20 Amendments
• 20.1 This Agreement may be amended, altered or added to only by written agreement between the
parties which agreement is supplemental to this Agreement and thereafter forms part of this
Agreement.
Article 21 Governing Law
21.1 This Agreement and the rights, obligations and relations of the parties shall be governed by and
construed in accordance with the laws of the Province of Ontario and the federal laws of Canada
applicable therein. The parties agree that the Courts of Ontario shall have jurisdiction to entertain
any action or other legal proceedings based on any provisions of this Agreement. The parties do
hereby attorn to the jurisdiction of the Courts of the Province of Ontario.
Article 22 Survival
22.1 Articles 1, 4, 6, 7, 9, 10, 12, 13, 16, 17, 21 and 22 shall continue in full force and effect after the
• termination or expiry of this Agreement, unless otherwise specified.

Article 23 Entire Agreement
23.1 This Agreement, including the Schedules, constitutes the entire Agreement between the parties.
• There are no other agreements, understandings, representations or warranties, collateral, oral or
otherwise.
23.2 In the event of any conflict between the Articles and Schedules, the Articles shall prevail.

TERMS OF REFERENCE
2007/2008 RIDE GRANT PROGRA M
1. MAXIMUM FUNDING APPROVED
The grant provided by the Ministry of Community Safety and Correctional Services is in the amount of
$4,700.00, which will be on a one -time basis for that period from April 1, 2007 to February 28, 2008 to
assist with costs of staff overtime, or paid duty. The total grant allocation must be used only for staff
overtime or paid duty.
2. REALLOCATION OF UNUSED FUNDS — INTERIM FINANCIAL STATUS REPORT
The Grantee shall review its Grant expenditure to December 31, 2007 and shall notify the Ministry by
January 5, 2008 on a form attached as Schedule B — 2007/2008 INTERIM FINANCIAL STATUS
REPORT to the Agreement, of its to -date expenditure and the amount, if any, which will not be used by
the end of this fiscal year. This amount will be reallocated to other Police Services, which have
requested additional funding.
3. ACCOUNTING INFORMATION
The Grantee shall provide such financial information as may be required by the Ministry from time to
• time. In addition, the Grantee shall by March 6, 2008 provide the Ministry with an accounting, in detail,
of all expenses with respect to which Grant monies have been expended.
4. STAFF OVERTIME AND PAID DUTY BILLING
Staff costs are overtime or paid duty for street level enforcement activities in relation to the program for
which the Grant is provided. Staff will not include civilian or auxiliary officers. For the Grant to reflect
the amount of staff overtime or paid duty, a one -time final billing will be submitted on Schedule C —
2007/2008 FINAL REPORT ON RIDE GRANT PROGRAM of the Agreement to the Ministry by March
6, 2008. This billing must be certified by a Municipal Clerk /Treasurer or a senior representative of the
Grantee's financial services who can verify the accuracy of the claim. The billing will itemize dates
worked, name and rank of officers, rate of pay (basic hourly rate), number of overtime /paid duty hours
worked, number of hours paid and total hours used by the service for the period of April 1, 2007 to
February 28, 2008
5. STATISTICAL INFORMATION
The Grantee shall report monthly statistical information including nil reports at the end of every month.
The February 2008 report is due no later than March 6, 2008, to the Ministry on a form attached as
Schedule D — 2007/2008 RIDE GRANT MONTHLY STATISTICS.
