BY-LAW
BY-LAW NO. 1996-91
A BY-LAW TO AUTHORIZE THE SIGNING OF AN AGREEMENT WITH
VIRGINIA SHAW AND SHERRY LANG FOR THE OPERATION
OF THE TOWN'S TOURIST INFORMATION FACILITY
WHEREAS the Council for The Corporation of
Kincardine deems it advisable to enter into an

Kincardine ENACTS as follows:
1. That The Corporation of the Town of Kincardine enter into
an agreement with Virginia Shaw and Sherry Lang for the
operation of the Town's tourist information facility.

4. This by-law may be cited as the "Operation of Tourist
Booth By-Law, 1996".

BETWEEN:
THE CORPORATION OF THE TOWN OF KINCARDINB
hereinafter called the "Town"
of the First Part,

hereinafter called the "Operator"
of the Second Part.
WHEREAS the Town has contracted the operation of the
tourist information facility to the Operator;
AND WHEREAS it is expedient that the terms and conditions
of this contract be specified by agreement between the two
parties;
NOW TBBRBFORB THIS AGRBBIIBIft' WITNBSSBTB 'l'BAT in considera-
tion of the premises and mutual promises and covenants
hereinafter contained, the parties hereby agree as follows:
1. The Operator shall operate the tourist information
booth on behalf of the Town of Kincardine.

3. The Operator agrees that minimum hours of operation of
the tourist information booth shall be:

From May 1st to June 30th - 11:00 a.m. to 6:00
p.m. (7 hours a day), seven days a week.
From July 1st to Labor Day - 10:00 a.m. to 8:00
p.m. (10 hours a day), seven days a week.
From the day after Labor Day to Thanksgiving
11:00 a.m. to 6:00 p.m. (7 hours a day),
Thursday, Friday and Saturday.
4. The Operator agrees to work 4 to 5 hours per week in
January, February and the first half of March to
prepare the yearly event calendar and update various
lists and directories. These hours may be worked from
the Operator's residence or any other location
approved by the Tourist Committee.
5. The Operator agrees that tourism is to be the number
one priority, that only items approved by the Tourist
Committee may be displayed or sold at the Tourist
Booth and that no business, other than tourism, may be
conducted at the tourist booth, without the approval
of the Tourist Committee.

Notwithstanding Clause (3) above, the Operator may, at
its discretion, keep the booth open for a longer
period of time or for longer hours at its own expense.
7. The Operator agrees to pay all labour costs and
general office expenditures.

8. The Operator agrees to pay hydro and water costs
during the period from May 1st to October 15th of each
year, as long as this agreement is in force.
9. The Operator shall keep a log-book of all telephone
calls. Telephone calls, excluding calls not related
to the operation of the tourist booth or requested by
the Tourism Committee, shall be the expense of the
Town and shall be monitored by the Tourism Committee.

12. The Town agrees to provide property and liability
insurance coverage on the building. The Operator
shall provide liability insurance coverage of not less
than $1,000,000 for its own operations and provide the
Town with a certificate of insurance to this effect.
13. The Operator shall keep a "visitor log" of all
visitors to the booth for statistical purposes; such
log to include, but not be limited to, origin of
visitor and destination of visitor. The statistical
results of this log shall be provided to the Town on a
monthly basis.
14. The Operator shall compile events information and
other information useful to the visitors to the Town
for use in the annual tourist guide sponsored by the
Tourist Development Committee. The Operator shall
assist the Tourist Development Committee in the
compilation of the annual tourist guide.
15. The Operator shall maintain, in conjunction with the
Recreation Department, an up-to-date directory listing
all Town service clubs, recreation program groups, and
other community services. The directory shall be
updated annually to ensure the information as to
contact persons, phone numbers, etc. is kept current.
16. The Operator shall be accountable to Kincardine Town
Council through Tourist Committee who shall liaise
with the Operator respecting tourism matters.
17. The term of this Agreement shall be from January 1st,
1997 to December 31st, 2000.

18. Either party may terminate this agreement with sixty
(60) days' written notice to the other.
19. It is hereby agreed that correspondence between the
two parties shall be addressed to the following:

20. This Agreement shall enure to the benefit of and be
binding on the respective heirs, executors,
administrators, successors and assigns of the parties
hereto.
IN WITNBSS WHEREOF the Town has hereto affixed its
corporate seal attested by the hands of its mayor and clerk
this 5th day of December, 1996. Operator has hereunto set
his hand this 5th day of December, 1996.
