HomeMy WebLinkAbout01 097 agree rg&g farm easement e e e e THE CORPORATION OF THE MUNICIPALITY OF KINCARDINE kÐT BY-LAW NO. 2001 - 97 A BY-LAW TO AUTHORIZE THE SIGNING OF AN EASEMENT AGREEMENT WITH RG &G FARMS LTD WHEREAS the Council for The Municipality of Kincardine deems it advisable to enter into an Easement Agreement with R G & G Farms for the purpose of access to the R G and G Farms Ltd., property for the construction of the penetangore diversion and maintenance project; NOW THEREFORE the Council for The Corporation of the Municipality of Kincardine ENACTS as follows: 1. That the Corporation of the Municipality of Kincardine enter into an easement agreement with R G & G Farms; 2. That the Mayor and Clerk be authorized to sign, on behalf of The Corporation of the Municipality of Kincardine, the Easement Agreement with R G & G Farms attached to this by-law and to affix the corporate seal as and when required; 3. This By-law shall come into full force and effect upon its final passage. 4. This By-law may be cited as the "R G & G Farms Easement Agreement, By- law". Box 6(b) - OTHER Page 2 EASEMENT The Transferor transfers to the Transferee, its successors and assigns, an exclusive unencumbered right, interest and easement upon, over, on, in, under, along, across and through the lands of the Transferor described in Box (5) of the Transfer/Deed to which this Schedule is attached, being the servient tenement (the Servient Lands") together with a right of way to enter upon the Servient Lands in order to construct, install, operate, maintain, inspect, alter, remove, replace, reconstruct, enlarge, repair and use and to pennit others to construct, install, operate, maintain, inspect, alter, remove, replace, reconstruct, enlarge, repair and use a system of services (the "Services"). Without limiting the generality of the rights created by this grant of easement, such Services shall consist of the following components: 1. The construction component of the services which includes the construction of a stream channel and associated earthworks to act as a pennanent diversion of the Penatangore River. 2. The maintenance component of the services including all works, appurtenances, attachments, apparatus, appliances and such natural vegetation which the Transferee may deem necessary, incidental or convenient thereto for the maintenance, improvement and repair to the works located on the servient lands. And for every such purpDse, the Transferee, its invitees and those claiming under it, together with their vehicles, machinery, equipment, materials and supplies, shall have the right of free unimpeded access to the Servient Lands at all times and for all purposes and things necessary for or incidental to the exercise and enjoyment of the rights hereby granted. 3. It is understood and agreed by and between the Transferor and Transferee that: (a) the burden ofthis indenture and of all covenants contained in this indenture shall run with and burden the Servient lands and all those having an interest in the Servient Lands from time to time; and (b) the benefit of this indenture and of all the covenants contained in this indenture shall run with and benefit the dominant lands, being a system of municipal works and services, including but not limited to a system of highways adjacent to the Servient Lands, and being situate in the Municipality of Kincardine, in the County of Bruce, together with the lands and structures appurtenant thereto and upon all those having an interest therein ftom time to time; and (c) this indenture shall be binding upon and enure to the benefit of the Transferor and the Transferee and their respective successors and assigns. (d) it is agreed that this easement will not be registered against the title of the servient lands and the Transferor agrees to provide a copy of this agreement to any person who might acquire an interest in the servient lands before the tennination of this agreement. (e) the sum of $2,500.00 paid as consideration by the Transferee to the Transferor for this grant of easement is all inclusive of the compensation owing to the Transferor and without limiting the generality of the foregoing includes compensation for any costs incUlTed by the Transferor for independent legal advice obtained during the negotiation and completion of this agreement and the cost of relocation or reconstruction of any fences which the Transferor may deem necessary. 4. The Transferor, for itself, its successors and assigns hereby covenants that unless given pennission in writing in advance by the Transferee, it will not use or cause or pennit the use of the Servient Lands, except as a lawn, garden, fann or open space and that it wìll not cause or permit any . buildings, structures or obstructions to be located on the Servient Lands and that it wìll not cause or pennit the Servient Lands to be paved with concrete, or change the grade or elevations ofthe . Page 3 Servient Lands, or do or cause or pennit anything to be done to the Servient Lands which may impair or damage the Services. 5. Provided that the Transferee, in exercising the rights hereby created, takes such actions as are necessary in the opinion of the Transferee in perfonning the services and work on the Servient Lands, it shall not be liable fDr damages occasioned by the work, except for the negligent perfonnance of such work. 6. The Transferee, for itself, its successors and assigns, hereby covenants and agrees with the Transferor, its successors and assigns, that the Transferee, its successors and assigns, shall and may peaceably hold and enjoy the rights, privileges and easements hereby granted without hindrance, molestation or interruption on the part of the Transferor, its successors and assigns or of any person, finn or corporation claiming by, through, under or in trust for the Transferor, its successors and assigns. 7. It is further understood and agreed between the Transferor and the Transferee that the duration of this agreement shall be as follows: · The Constrnction Period · · (a) Throughout the whole of the length of the time required to complete the construction component of the services. The Maintenance Period (b) For a period of 12 months after the completion ofthe construction period, which shall be the time required for the maintenance period. (c) The construction period shall end and the maintenance period shall commence on the date certified and confinned in writing in a notice issued by the Engineers for the Transferee and delivered to the Transferor. (d) At the expiry of the maintenance period this easement agreement shall tenninate without further liability between the parties and without the necessity of further acknowledgment of tennination. 8. Upon the tennination of this easement agreement, all right and title to the Servient Lands shall revert to the Transferor and it agrees to accept the lands in the condition as then exists including the location of the diverted stream and all other changes to the land as required to complete the work. - .' , , I I , I , I !
