BY-LAW NO. 2005 -185 BEING A BY·LAW TO ACCEPT A TENDER FOR THE SUPPLY AND INSTALLATION OF POOL COIL FOR THE DAVIDSON CENTRE FOR KINCARDINE AND DISTRICT, MUNICIPALITY OF KINCARDINE (Ken Robinson Refrigeration Inc.) WHEREAS the Municipal Act, 2001, S.O. 2001, c. 25 Section 11 (2) authorizes municipalities to pass by-laws respecting matters within the sphere of jurisdiction of culture, parks, recreation and heritage; AND WHEREAS pursuant to the said Municipal Act, Sections 8 and 9 (1) provide municipalities with the powers of a natural person to enable them to govern their affairs as they consider appropriate under this or any other Act and to enhance their ability to respond to municipal issues; AND WHEREAS the Council for The Corporation of the Municipality of Kincardine has determined that new pool coil is required for the swimming pool located in the Davidson Centre for Kincardine and District; AND WHEREAS the Council for The Corporation of the Municipality of Kincardine deems it expedient to accept a tender to for the supply and installation of pool coil at the Davidson Centre for Kincardine and District pool submitted by Ken Robinson Refrigeration Inc. in the amount of $37,162.00, exclusive of taxes; NOW THEREFORE the Council for The Corporation of the Municipality of Kincardine ENACTS as follows: 1. That the tender of Ken Robinson Refrigeration Inc. for the supply and installation of pool coil at the Davidson Centre for Kincardine and District in the amount of $37,162.00, exclusive of taxes, be hereby accepted. 2. That any funds, in excess of the $20,000.00 allocated in the 2005 capital budget for the completion of the project, be reallocated from the Davidson Centre Pool Roof Project . 3. That the Mayor and CAO be hereby authorized to sign, on behalf of the Council for The Corporation of the Municipality of Kincardine any contracts and other documents required for the project to commence. 4. This By-law shall come into full force and effect upon its final passage. 5. This By-law may be cited as the ·Pool Coil (Ken Robinson Refrigeration Inc) Tender Acceptance By-law". Tenders must be submitted, sealed in an envelope no later than 3 pm local time, Tuesday, Nov 8th, 2005 to the Davidson Centre or mailed to the attention of: Karen Kieffer - Recreation Director Municipal Administration Centre RR#5 Kincardine, Ont N2Z 2X6 The lowest or any tender not necessarily accepted. Tender to include all components required for supply and installation of new pool coil for Davidson Centre Pool including all costs, taxes, etc. 2. To co-ordinate with pool schedule, the pool coil must be installed the week of December 19,2005. 3. The successful bidder will be required to provide a Certificate ofInsurance issued by the Workplace Safety Insurance Board (WSIB) and compliance with the Retail Sales Tax requirements before the final awarding of the contract takes place. 4. The successful bidder must also sign the Muncipality's "Notice to Contractors" respecting the Corporate Statement on Occupational Health and Safety (attached) 5. Tenders which are illegible, incomplete, unbalanced, conditional, obscure or contain irregularities may be rejected. 6. This tender submission is irrevocable and open for acceptance until forty~five (45) days after the closing date. 7. The lowest or any tender will not necessarily be accepted. 8. This contract will be awarded in its entirety and on the basis of the submission which best meets the needs of the Municipality of Kincardine. In this regard, the decision of the Municipality of Kincardine is final. 9. This contract may not be assigned, sub-contracted out or let out in whole or in part, without the prior consent of the Municipality of Kincardine. 10. In the event that all or any part of the work is deemed unacceptable by the Municipality, payment for all services, or for the applicable section of the work, will be withheld until such time as the work is deemed acceptable by the Municipality. , . ~ / .. 11. The successful bidder and the Municipality will work out the payment details prior to the start of work. Ordinarily, the Municipality pays once the job is completed, complying with Invoice deadlines, etc. 12. The Contractor shall indemnify and hold harmless the Municipality of Kincardine, their agents, officers and employees from and against all liabilities, damages, costs, claims, suits or actions by third parties attributable to bodily injury, sickness or death or to damage to or destruction of property caused by negligent acts or omissions of the Contractor, its officers, agents, servants, employees, customers, invitees or licensees, or occuring in or on the premises or any part thereof arising from or occasioned by any cause whatsoever, except where such damage or injury is due to the act, default or negligence of the Municipality, their officers and employees. 13.LIABILITY INSURANCE The Contractor shall take out and keep in force until the date of acceptance of the entire work by the Municipality, a comprehensive policy of public liability and property damage insurance acceptable to the limit of at least two million ($2,000,000.00) inclusive, against loss or damage resulting from bodily injury to or death of one of more persons and loss or damage resulting from bodily injury to or death of one or more persons and loss of or damage to property. Such policy shall name the Municipality ofK.incardine as an additional insured thereunder, shall contain a cross-liability clause and shall protect the Municipality against all claims 14. The Contractor shall provide adequate protection for workers and public at all times under the applicable Federal and Provincial statues, in accordance with all Municipal by-laws and regulations together with any additional safety measures. 15. The Contractor must ensure that during the course ofthe work, that its personnel are equipped and wear appropriate safety apparel footwear, and equipment. 16. The Municipal representative that all work must be co-ordinated with is Karen Kieffer - Recreation Director.
